Last updated on these Terms: February 14, 2026

Presentation: This document establishes the General Terms and Conditions of Use (“Terms”) applicable to AbsolutHR, human resources management software provided by ConnectPBS (hereinafter referred to as “Provider” or “ConnectPBS”). AbsolutHR is an online platform based on Odoo applications, intended for companies (“Client”) for managing human resources operations, including the processing of personal data of employees and other information related to their HR activities.

The use of AbsolutHR by the Client and its authorized users (“Users”) is conditioned upon full acceptance of these Terms, and careful reading of this document is essential before subscribing to or using the service. By subscribing, accessing, or using AbsolutHR, the Client declares that they have read, understood, and fully accepted these Terms and our Privacy Policy. If the Client or their representatives do not agree with any clause provided herein, they must refrain from using the platform and the services of AbsolutHR.

The Terms, along with our Privacy Policy of the AbsolutHR and any commercial proposals or specific contracts signed, constitute the entire agreement between ConnectPBS and the Client, prevailing over any other documents or prior understandings in case of divergence. The person entering into this contract on behalf of the Client declares that they have the legal authority to bind the organization to these Terms.

Note: These Terms are a binding legal contract. If you have any questions about any provision, contact ConnectPBS before using AbsolutHR.

1. Introduction and Acceptance of the Contract

1.1. Identification of the Parties: This contract is entered into between ConnectPBS (the company responsible for the development and provision of the AbsolutHR software) and the Client (the legal entity that subscribes to and uses the service for human resources management in its organization). AbsolutHR is a human resources software platform based on Odoo technology, provided by ConnectPBS under the terms established herein. 1.2. Acceptance and Binding: By the subscriber (Client) registering, formally adhering to, or using AbsolutHR, the full and unconditional acceptance of these Terms and Conditions, as well as our Privacy Policy, which is an integral part of this contract, is established. If the Client does not agree with any clause or condition, they should not use AbsolutHR. Continued use of the platform, from the moment of subscription and with each subsequent access, will be considered as agreement and continuous adherence to the current Terms.

1.3. Legal Capacity: The Client declares to have legal capacity to contract the services provided herein and, if a legal entity, that the person accepting this contract on its behalf is duly authorized and has the power to bind the Client to the obligations set forth herein. The Client will be responsible for ensuring that only users of legal age and with legal authorization access AbsolutHR in their organization. The use of AbsolutHR by minors or by individuals without legal capacity to contract, as well as by any entities prohibited by applicable laws from using services of this nature, is prohibited.

1.4. Contractual Relationship and Applicable Documents: These Terms, along with the Privacy Policy of AbsolutHR and any Commercial proposals or specific contracts signed between the Client and ConnectPBS (for example, service provision contracts or customized service level agreements), constitute the complete agreement governing the use of AbsolutHR by the Client. 2. Purpose of the Service and General Description

2.1. About AbsolutHR – HR Management Platform: The AbsolutHR is a software as a service (SaaS) for human resources management and personnel administration, developed by ConnectPBS based on Odoo technology. The platform offers companies an integrated solution to manage HR operations, including employee registration, attendance and punctuality control, vacation and absence management, payroll and benefits processing, training organization and performance evaluations, recruitment, and other HR functionalities. The primary objective of AbsolutHR is to centralize and digitize HR processes, contributing to greater efficiency in personnel administration and assisting the Client in meeting labor and regulatory obligations through the tools provided.

2.2. Features and Modules: The specific functionalities made available to the Client depend on the package or modules contracted. AbsolutHR may include, among others, the following modules: Employee Management (personal and contractual data, organizational charts, documents), Time and Attendance Management (time tracking, work schedules, absences, vacations, time bank), Payroll Processing (salary calculation, benefits, taxes), Performance Management (evaluations, objectives), Recruitment (management of candidates and vacancies) and Training and Development (training records, skills). ConnectPBS provides detailed information about each module in the commercial presentation materials and user manuals of AbsolutHR. New functionalities and improvements may be added to the platform periodically through updates (see Clause 7), at no additional cost within the contracted plan, unless expressly agreed otherwise.

2.3. "Scope" of the Services: ConnectPBS will make all reasonable efforts to provide AbsolutHR in accordance with the announced technical and functional characteristics. However, the Client acknowledges that it is responsible for verifying whether the software meets its specific needs. ConnectPBS does not provide, under this contract, legal, labor, accounting, or tax consulting services. Any information, document templates, or calculations provided by AbsolutHR are merely operational or informational in nature, not constituting legal or compliance advisory. The Client is responsible for ensuring that the configuration and use of the software, including parameters, formulas, and generated documents, comply with the laws and regulations applicable to their industry and jurisdiction. It is recommended that the Client seek independent professional advice for specific legal or tax matters.

2.4. Access Conditions: Access to AbsolutHR is via the Internet, through registration and authentication. Each User will have personal access credentials (username and password), linked to the Client's account, through which they can use the platform's functionalities within the permission limits defined by the Client (for example, an HR administrator will have broader access than a regular employee). The Client is responsible for providing and maintaining the technical resources necessary for Internet connection and access to the platform. ConnectPBS is not responsible for access limitations resulting from failures or deficiencies in the Client's Internet infrastructure or other factors external to the service (such as unavailability of the Client's local network).

2.5. Continuous Improvement: ConnectPBS may, over time, implement technical or functional changes in AbsolutHR to improve the security, performance, and usability of the platform. These enhancements or modifications do not alter the object of the contract and, when possible, will be communicated in advance to the Client, especially if they imply significant changes in the way the service is used. The Client understands that part of the natural evolution of cloud software involves updates and that, as long as the main scope of the contracted service is respected, ConnectPBS may change non-essential elements of the platform, introduce new functionalities, or discontinue obsolete functionalities, always aiming for the overall benefit of the system users.

3. License of Use and Intellectual Property of the Software

3.1. Grant of Limited License: ConnectPBS, as the owner and developer of AbsolutHR, grants the Client a non-exclusive, non-transferable, and limited license to access and use the platform during the term of this contract, exclusively for internal professional purposes of human resources management in their organization. This license of use is conditioned upon compliance with these Terms and the timely payment of the subscription fees agreed upon. The Client is not allowed to assign, sublicense, sell, rent, or transfer in any way this license or the rights to use AbsolutHR to third parties, except with prior written consent from ConnectPBS.

3.2. Intellectual Property Rights: ConnectPBS (and, if applicable, its licensors, including Odoo S.A. regarding the underlying Odoo technology) holds all intellectual and industrial property rights about the AbsolutHR software and its associated documentation. This includes the platform design, the source code and object code, the modules, interfaces for users, databases, reports, logos, trademarks, and content provided by ConnectPBS. These elements are protected by copyright, trademark, and patent laws and treaties. No provision of this contract shall be interpreted as a transfer of ownership of these rights to the Client; the Client acquires only the usage rights expressly described in clause 3.1 for the contracted purposes.

3.3. Software Usage Restrictions: The Client and Users may not, under any circumstances, (a) copy, modify, distribute, extract parts, create derivative works, or reverse engineer the AbsolutHR or any components of the software; (b) remove or alter copyright notices, trademarks, logos, or indications of intellectual property present in the software or its interface; (c) use the software to develop or enhance a competing product, or for any purpose not provided for in this contract, without prior written authorization from ConnectPBS. Any use of the AbsolutHR in violation of this license will be considered contractual and intellectual property rights violation, subjecting the Client to appropriate legal measures and immediate suspension of access to the platform.

3.4. Feedback and Business References: The Client agrees that any suggestions, improvements, or enhancement ideas for AbsolutHR voluntarily provided to ConnectPBS (“Feedback”) may be used by ConnectPBS freely to develop, improve, or update the software, without such fact giving rise to compensation or generating any ownership rights for the Client or Users over the implemented improvements. The Client also authorizes ConnectPBS to refer to their name and logo as a user/client of AbsolutHR in marketing materials and on the website, solely for informational and promotional purposes, respecting any brand usage guidelines that the Client provides. If the Client wishes to revoke this authorization, they must notify ConnectPBS in writing.

4. Proper Use of the Platform and Client Obligations

4.1. General Usage Rules: The Client declares that they will use AbsolutHR and ensure that their Users use it diligently, lawfully, and in accordance with these contractual conditions and applicable legislation. Access to the platform is provided exclusively to support the Client's internal HR management needs; any other use, especially providing HR management services to third parties (such as outsourcing) or commercial exploitation of the platform, without authorization from ConnectPBS, is prohibited. The Client must not use AbsolutHR for any unlawful purpose, contrary to morals or public order. All usage instructions provided by ConnectPBS (for example, in manuals, documentation, or official communications) must be respected, aiming to ensure the security and efficiency of the system.

4.2. Best Practices and Access Security: The Client agrees to ensure that the access data (usernames, passwords, tokens for authentication, etc.) are kept confidential and used only by authorized individuals. Each User must have individual credentials; sharing credentials is prohibited among multiple people. The Client will be responsible for any and all activities conducted through their Users' accounts. Therefore, it is recommended to adopt good security practices, such as setting strong passwords and periodically changing them. In case of suspected unauthorized access or compromise of any User's credentials, the Client must immediately notify ConnectPBS and proceed to change the passwords or revoke the compromised accesses. ConnectPBS may provide additional security resources, such as two-factor authentication or login restrictions, and the Client is encouraged to use them for greater account protection.

4.3. Content and Information Compliance: The Client is solely responsible for all content and data entered, stored, or transmitted through AbsolutHR in their account. The Client agrees not to input or allow the storage on the platform of content that: (a) is illegal, unlawful, or infringes on the rights of third parties (for example, personal data of third parties without authorization, materials that infringe copyright, or defamatory, discriminatory, obscene, or offensive information); (b) contains viruses, malware, Trojan horses or any other malicious code that may compromise the integrity of the software or systems of ConnectPBS; or (c) may, in any way, harm or overload the platform's infrastructure or interfere with the experience of other users. The Client guarantees that all personal data entered in AbsolutHR has been obtained legitimately and that they have a legal basis for its processing (for example, consent from the data subjects, legal or contractual obligation, legitimate interests, as applicable). The Client also undertakes to keep the data updated and accurate, and not to use the platform for purposes other than those contemplated in this contract.

4.4. Unauthorized Access and Platform Security: It is prohibited for the Client or any User to attempt to bypass security mechanisms of AbsolutHR or gain unauthorized access to any modules, data, or servers of the service. Activities of hacking, port scanning, reverse engineering of communication protocols, or using automated tools for data extraction (such as bots, scrapers or similar) are strictly prohibited without prior authorization from ConnectPBS. The Client may not use AbsolutHR in a way that harms the availability, integrity, or performance of the platform, nor to collect or attempt to collect information from other clients in an unauthorized manner. Any indication of security breach, unauthorized access, or exploitation of vulnerabilities must be immediately reported to ConnectPBS.

4.5. Consequences of Misuse: ConnectPBS reserves the right to suspend or terminate temporarily or permanently the Client's access to AbsolutHR, in whole or in part, if it identifies or has strong indications that the Client or any User has violated the provisions of this contract (for example, abusive or fraudulent use of the platform, repeated delays in payment, violation of intellectual property or acceptable use rules). Whenever possible, ConnectPBS will notify the Client about the identified violation, giving them the opportunity to remedy the issue within a reasonable timeframe. However, in cases of serious infringement that justify termination for cause, access may be immediately blocked, without prejudice to other legal measures. The suspension or termination for the above reasons does not exempt the Client from the payment of amounts due until the effective date of termination of the contract, nor does it prevent ConnectPBS from claiming compensation for damages resulting from the infringements committed by the Client.

5. Privacy and Personal Data Protection

5.1. Legal Compliance – GDPR and Applicable Legislation: ConnectPBS undertakes an absolute commitment to the privacy and protection of personal data processed within the scope of AbsolutHR. The Supplier declares that it fully complies with the provisions of the General Data Protection Regulation (GDPR) – Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 – as well as the applicable national data protection laws, including Law No. 58/2019 (Portuguese legislation that ensures the implementation of the GDPR) and other relevant local or sectoral regulations. The conditions for processing personal data in the context of AbsolutHR are detailed in this clause and supplemented by the Privacy Policy of ConnectPBS, available on our website.

5.2. Roles of the Client and ConnectPBS: For the purposes of the provisions of the GDPR and other data protection legislation, the Client is the Data Controller of the personal data entered or managed in AbsolutHR, being responsible for defining the purposes and means of processing that information. ConnectPBS, in turn, will act as the Subcontractor/Data Processor on behalf of the Client, accessing and processing personal data only in accordance with the documented instructions of the Client and for the purposes set forth in this contract, as provided in Article 28 of the GDPR and other applicable regulations. Therefore, there is no transfer of control of personal data to ConnectPBS; the Client retains ownership and control over all data that they enter or collect through the platform. ConnectPBS will not carry out any processing of the Client's data for its own purposes that are incompatible with the Client's instructions or beyond what is necessary to fulfill this contract.

5.3. Data Processing Agreement (DPA): In consideration of the nature of AbsolutHR and the provisions of the GDPR, ConnectPBS provides a Data Processing Agreement (Data Processing Agreement – DPA) that complements these Terms. By accepting this contract, the Client and ConnectPBS also enter into the applicable DPA, which defines in greater detail the obligations of both parties regarding the processing of personal data on behalf of the Client. The DPA is attached or available for consultation (for example, through our website or upon request), and covers topics such as: purposes of processing, types of personal data processed, categories of data subjects, duties of the Supplier as a subcontractor, confidentiality obligations, data security measures, assistance in fulfilling the rights of data subjects, and rules for subcontracting processing (sub-processors).

5.4. Purpose of Data Processing: The personal data entered in AbsolutHR by the Client will be used by ConnectPBS exclusively to enable the use of the contracted functionalities of the platform, in accordance with the Client's instructions and the purposes inherent to human resources management. Such purposes may include, for example: maintaining employee records (name, contact details, contractual information), processing payroll and benefits, managing absences and vacations, performance evaluation, recruiting candidates, among others. ConnectPBS does not access or use the Client's data for any purposes unrelated to this contract., unless required by law or by order of a competent authority (for example, in response to a judicial or administrative order, in which case we will inform the Client, unless legally prohibited). ConnectPBS may process aggregated and anonymized data from the Client's data for statistical analysis and service improvement purposes, ensuring that no report or result allows for the individual identification of the Client or their employees.

5.5. Subcontracting and International Data Transfer: The Client authorizes ConnectPBS to use subcontractors or third-party service providers (subprocessors) to perform specific functions of personal data processing within the scope of AbsolutHR, such as cloud hosting, email sending, analytics, etc. ConnectPBS will ensure that all data subcontractors are bound by equivalent contractual obligations to those set forth in this contract and in the DPA, especially regarding confidentiality, security, and access restrictions to personal data. ConnectPBS will keep an updated list available to the Client of the main subcontractors involved in the processing of their data (for example, Odoo S.A. as the provider of the underlying platform, and other relevant data hosting or complementary service providers), either in a dedicated section of the DPA, on our website, or upon specific request from the Client.

Whenever the provision of services involves the international transfer of personal data (for example, storage or access to data from countries outside the European Economic Area), ConnectPBS is committed to taking appropriate legal measures to ensure a level of data protection equivalent to that required in the European Union. This may include, as applicable, the conclusion of Standard Contractual Clauses approved by the European Commission with subcontractors located in third countries, or ensuring that the data recipients are in jurisdictions deemed adequate by the European Commission in terms of data protection.

5.6. Rights of Data Subjects: The Client, as the data controller, is committed to informing its employees and other data subjects whose personal data is processed in AbsolutHR about the respective data processing practices, as required by law. ConnectPBS will assist the Client, to the extent possible, in fulfilling the rights of data subjects provided for in the legislation (such as right of access, rectification, deletion, objection, portability, etc.). Requests received from data subjects (for example, an employee of the Client who contacts ConnectPBS directly) will be forwarded to the Client or handled according to their instructions.

In the event of a personal data security breach that affects the Client's data, ConnectPBS is committed to notifying the Client without undue delay after becoming aware of the incident, providing sufficient information for the Client to fulfill any reporting obligations to data protection authorities and data subjects, in accordance with the GDPR. ConnectPBS will cooperate with the Client in the investigation and mitigation of the breach, taking appropriate measures to minimize any impacts.

5.7. Retention and Deletion of Data: During the term of the contract, the personal data of employees and other information of the Client will remain stored in AbsolutHR according to the functionalities of the system and this contract. After the termination of the contract, ConnectPBS will retain the Client's data for a limited period solely for the fulfillment of pending legal or contractual obligations. Unless a specific legal requirement states otherwise, ConnectPBS will adopt the following standard procedures: (a) The data will be placed in a ““blocked” or inaccessible state for normal operations immediately after the termination of the contract (or after any additional period in which the system remains active for final data extraction); (b) The blocked data will be kept for up to one (1) year for safeguarding possible residual legal obligations of the contract or for making final backup copies; and (c) once the necessary retention period has expired, all personal data of the Client will be deleted securely and definitively from the production databases and backups of ConnectPBS.

The Client is responsible for extracting or requesting a copy of their data before the end of the contract or during the immediately following period (typically, up to 30 days after the end of the subscription), if you wish to retain such data for your own records. After this operational retention period of 30 days, ConnectPBS cannot guarantee the recovery of deleted data. ConnectPBS may provide self-service mechanisms for data export (for example, features to export records or reports) before cancellation, or upon written request from the Client within the indicated retention period. After permanent deletion, the data cannot be recovered.

5.8. Privacy Policy of AbsolutHR: The complete details on how ConnectPBS handles personal data under AbsolutHR can be found in the Privacy Policy of the product, available on the ConnectPBS website (or provided along with this contract). This policy provides additional information about the types of personal data collected, legal bases for processing, duration of processing, and rights of the data subjects, complementing the provisions of this clause. In case of any discrepancy between the provisions of this clause and the Privacy Policy, the provision that provides greater protection to personal data of the data subjects shall prevail, without prejudice to the rights and obligations defined in the GDPR and applicable legislation.

5.9. Security and Privacy Notifications: ConnectPBS has appointed a Data Protection Officer (DPO), whose contacts are available in the Privacy Policy, to act as a point of contact for issues related to personal data protection. Any questions or requests (for example, related to the exercise of data protection rights or security issues) can be sent to the DPO or to our support, which will forward them appropriately. Both parties commit to comply with data protection laws and to mutually cooperate to ensure the privacy and security of the data processed through AbsolutHR.

5.10. Security and Confidentiality Measures: A ConnectPBS implements strict technical and administrative security measures to protect personal data against unauthorized access, misuse, loss, or improper disclosure. Such measures comply with industry best practices and the requirements of the GDPR (principles of privacy by design and by default). Some of the security controls adopted include, but are not limited to: a) Data isolation – each Client has its own dedicated database, with no sharing of information with other clients, and logical access control mechanisms prevent users from one company from accessing data of another; b) Encryption – all communications between users and AbsolutHR are protected by transport encryption via HTTPS protocol with 256-bit TLS certificates (high-level SSL/TLS), and all Client data stored in the infrastructure (including backups) are encrypted at rest with robust algorithms (for example, AES-256); c) Backups and Disaster Recovery – ConnectPBS performs periodic backups of the Client's data, maintaining 14 backups (7 daily, 4 weekly, and 3 monthly) stored for at least 3 months in multiple geographically distributed data centers. These backups are monitored and can be restored in case of data loss or serious incidents, observing appropriate RPO/RTO (Recovery Point Objective / Recovery Time Objective) in accordance with Odoo platform practices. Additionally, the underlying data centers comply with international physical security standards (e.g., ISO/IEC 27001 certifications, SOC 2 Type II, access controls with 24x7 surveillance) and have protection against network attacks (including DDoS attack mitigation). These measures are described in detail in point 7 mentioned below in these terms and conditions.

ConnectPBS ensures that its employees and any direct subcontractors who need to access the Client's data for technical support or maintenance will be subject to contractual obligations of confidentiality and will only process the data to the extent necessary for the provision of the service. Administrative accesses are logged and monitored, and restricted to authorized personnel trained in good information security practices. The Client acknowledges and agrees that ConnectPBS may, in response to Client support requests, access configurations or data from their AbsolutHR instance strictly to resolve the reported issue, always respecting the privacy and confidentiality of the data.

6. Integration with Odoo and Security

6.1. Dependency on Odoo Technology: The AbsolutHR is developed and operates based on the Odoo, a third-party enterprise management system (ERP) provided by Odoo S.A., subject to its own terms and policies. Thus, the Client acknowledges that the use of AbsolutHR also implies adherence to certain terms and conditions of Odoo, especially regarding the cloud, underlying software components, and security updates provided by Odoo. Among these relevant documents are, for example, the Odoo Enterprise Subscription Agreement and the Odoo Privacy Policy (available on the official Odoo website). Such documents contain obligations and rights that may impact the use of AbsolutHR (for example, Odoo licensing restrictions and Odoo's commitments regarding the security and privacy of data hosted on its cloud). In the event of a direct conflict between Odoo's conditions (applicable to the underlying platform) and the conditions of this contract, what is necessary to ensure compliance with Odoo's technological requirements shall prevail; otherwise, if there is no incompatibility, the provisions shall accumulate and apply cumulatively to the Client.

6.2. Security Policies and Audits: Odoo S.A. implements security measures at various levels, which are reflected in the operation of AbsolutHR.

These policies are publicly available on the Odoo website and are incorporated into this contract by reference, in that they complement the security and privacy measures described herein. ConnectPBS will ensure that the Client has access to the links or copies of these policies for consultation. In particular, with respect to the information security, ConnectPBS adheres to the practices and controls established by Odoo S.A., as summarized on the official Odoo website. If the Client requires additional information about Odoo's security or privacy practices, they may request it from ConnectPBS or consult Odoo's public resources directly. [Odoo Cloud Service Level Agreement], [Odoo Security]

6.4. Third-Party Integrations: AbsolutHR may offer integration with third-party applications or services (e.g., payroll processing services, accounting systems, e-learning, among others) to enhance HR functionalities. The Client acknowledges that the use of third-party integrations or plugins will be subject to the terms of use and privacy policies of those third parties. ConnectPBS is not responsible for services or content provided by integrated third parties, acting only as a technical intermediary. The Client must review and accept the terms of the third parties before activating the integrations and is responsible for fulfilling any obligations arising from that use. If any third-party integration causes incidents that affect the security or stability of AbsolutHR, ConnectPBS may temporarily or permanently disable such integration, notifying the Client and, if possible, assisting in mitigating the effects.

7. Security and Confidentiality Measures in AbsolutHR

The AbsolutHR platform , provided by ConnectPBS, and based on the Odoo Community edition (an open-source ERP system), is hosted on Amazon Web Services (AWS). This report details the technical and organizational security measures implemented, aligned with the principles of the General Data Protection Regulation (GDPR), including “privacy by design” and “privacy by default”. Additionally, the security guarantees and Service Level Agreements (SLAs) are compared between the Odoo Community (self-managed in AWS environment) and Odoo Enterprise (Odoo's Odoo Cloud platform), highlighting the applicable practices in AWS environments.

Furthermore, the assignment of privileges follows the principle of least privilege – users only receive the permissions strictly necessary for their roles, minimizing the risk of unauthorized access. The combination of these mechanisms (database segregation by client and granular access policies) ensures a high level of confidentiality and integrity of the data, two essential pillars for compliance with the GDPR. In fact, the GDPR itself requires that controllers and processors implement appropriate technical and organizational measures to ensure the integrity and confidentiality of personal data, a goal fully met by these isolation practices.

7.2. Encryption in Transit and at Rest: To protect data both during transmission and in storage, AbsolutHR adopts robust encryption mechanisms in accordance with industry best practices and GDPR requirements. Specifically, all communications between users and the platform are encrypted in transit, using the HTTPS protocol with 256-bit TLS encryption (SSL/TLS certificates with RSA key of 2048 bits or higher). This high-level cipher (equivalent to AES-256 for the transport channel) ensures that sensitive data (such as personal information, login credentials, or other confidential information) cannot be intercepted or read by third parties during communication over the Internet.

At the same time, all data stored on servers and backups of AbsolutHR are encrypted at rest using robust encryption algorithms, namely standard AES-256. Thus, even in the unlikely scenario of a physical security breach or unauthorized access to the disks/servers, the information remains unreadable without the decryption keys appropriate. It is worth noting that the AWS infrastructure used provides native options for encryption of storage volumes (EBS) and databases (for example, Amazon RDS with data encryption according to AES-256) in compliance with industry standards.

It is also important to mention that user passwords are protected through secure hashing, using PBKDF2 with SHA-512 and “salting” and “key stretching” (several thousand iterations). This method, considered state-of-the-art, ensures that passwords are not stored in plain-text and are virtually irreversible, protecting users against unauthorized access. Not even the platform administrators or support team can read or recover the original passwords, only being able to reset them if necessary.

In the context of Odoo Community, the adoption of these measures is the responsibility of the entity that manages the infrastructure – in this case, ConnectPBS – following the guidelines of Odoo. Odoo S.A. itself recommends that implementations on-premises (or in cloud private) should always be carried out through secure proxy servers, in order to enforce encrypted HTTPS traffic to the Odoo instance. In Odoo Enterprise in the (Odoo Cloud), these encryption protections are already enabled by default – all instances in cloud of Odoo operate exclusively under HTTPS, and all database content and files associated are automatically encrypted at the storage level. Thus, regardless of the edition (Community or Enterprise), it is possible to achieve the same levels of encryption, provided that best practices are followed (in the case of Community, properly configuring the AWS infrastructure to enforce TLS and enable disk encryption, snapshots and databases; in the case of Enterprise SaaS, relying on the default configuration managed by Odoo).

7.3. Backups and Disaster Recovery: The backup policy of AbsolutHR reflects a commitment to availability and resiliencedisponibilidade e resiliência dos dados, estando em linha com as melhores práticas da própria plataforma Odoo.

Similarly, the AWS infrastructure provides distinct regions and availability zones, allowing ConnectPBS to distribute backups across multiple data centers, mitigating risks of data loss in cases of localized disasters.

Recovery objectives (RPO/RTO) have also been defined for disaster situations. In accordance with the practices of the Odoo platform, AbsolutHR establishes a Recovery Point Objective (RPO) of up to 24 hours, meaning that in the worst-case scenario of a catastrophic failure, at most 24 hours of data may not yet be replicated in the latest backup. Likewise, the Recovery Time Objective (RTO) – maximum time to fully restore services in a new data center in case of disaster – is set at approx. 24 hours, following the parameters of Odoo Cloud. In less severe contexts (for example, isolated server or instance failure in the cloud), recovery times tend to be much lower; for reference, Odoo documents a typical RTO of 6 hours for outages of a single server in its SaaS infrastructure.

It is also worth noting that the platform allows for the extraction of backups on-demand. In Odoo Enterprise cloud, the client can download an up-to-date copy of their data at any time through the control panel. In a self-managed AWS installation, ConnectPBS also provides mechanisms for data export or restoration when requested by the client, ensuring transparency and control over their information.

7.4. Infrastructure Security and Threat Monitoring: Regarding infrastructure security, the stack underlying AbsolutHR was designed following principles of “security by design”. The servers running the solution operate in hardened and minimized Linux environments – only with essential components – in order to reduce the attack surface. All operating systems are kept up to date with security patches applied promptly (many of which automatically). Additionally, in the case of Odoo Cloud, Odoo indicates that only a limited number of trusted engineers have administrative access to the servers, and even then through secure mechanisms (encrypted personal SSH keys, implementing full-disk encryption on access devices). Similarly, in AWS deployments, ConnectPBS employs restricted administrative access policies: direct access to production instances is limited to authorized personnel, using secure authentication methods (for example, key pairs SSH and management of bastion hosts for access) and recording all actions of admin for auditing purposes.

The network security is also a priority. All endpoints of the application are protected by firewalls and monitored by intrusion detection/prevention systems. These layers of defense identify and block malicious access, mitigating attack attempts such as port scans or repeated unauthorized login attempts (brute force attacks). Additionally, Odoo allows configurations for rate limiting of authentication requests and implementation of CAPTCHA after several failed attempts, making it harder for brute force automated attacks.

In the specific case of a deployment on AWS, the platform benefits from the native network protections and scalability of this cloud. AWS has extensive bandwidth capacity and dedicated DDoS mitigation services that protect applications against large volumes of malicious traffic, diverting and filtering malicious packets before they affect the servers. The  que protegem as aplicações contra tráfego malicioso volumoso, desviando e filtrando pacotes maliciosos antes que afetem os servidores. A resilience of the AWS architecture, with multiple Availability Zones and load balancing, allows for drastically reducing the risk of downtime.

7.5. Compliance with GDPR and Security Standards: ConnectPBS demonstrates a strong commitment to legal and regulatory compliance regarding data protection. First and foremost, the AbsolutHR platform has been developed and is operated in accordance with the principles of the GDPR, namely the concepts of "data protection by design" and "by default." This means that privacy safeguards have been incorporated from the early stages of the system's design, and that default settings prioritize the protection of personal data. For example, only the data necessary for defined purposes is collected ("data minimization"), personal information retention periods are limited to what is strictly necessary (storage limitation), and default access settings are configured to ensure maximum restriction and confidentiality (no personal data is accessible to unauthorized individuals). Such practices align with Article 25 of the GDPR (Data protection by design and by default) and ensure that user privacy is not an afterthought, but rather a foundational element of the service..

Regarding the underlying physical infrastructures, the trust in a cloud market leader like AWS brings numerous additional guarantees of security and compliance. The data centers of AWS meet strict international standards for physical and logical security, being audited and certified according to ISO/IEC 27001, ISO 27017 (cloud security), ISO 27018 (cloud privacy), among others. Additionally, AWS regularly obtains System and Organization Control (SOC 2 Type II, among others) reports from independent auditors, attesting to the effectiveness of the controls for security, availability, integrity, confidentiality, and privacy in its operations.

From an operational perspective, the data centers supporting the solution have multiple physical security controls: restricted access to facilities only for authorized personnel, with multi-factor authentication (card, biometrics) and 24x7 surveillance by dedicated security teams. Essential resources (power, cooling, connectivity) have N+1 redundancy or higher, with facilities equipped to withstand failures or disasters (in this regard, the data centers used meet at least the requirements of Tier III onwards). Odoo S.A. itself emphasizes that its partner data centers (such as OVH and Google Cloud Platform) have controlled access perimeters, continuous surveillance, and automatic fire suppression and intrusion mitigation systems. Such measures ensure that customer data is protected not only against virtual threats but also against physical or environmental risks, reinforcing the availability and resilience required by both the market and data protection legislation.

Finally, it is important to emphasize that the responsibility for the roles of data controller and subcontractor (processor) varies according to the implementation model. In a SaaS scenario (for example, using Odoo Enterprise on the Odoo Cloud), the client company acts as the Data Processing Responsible, while Odoo S.A. takes on the role of Subcontractor, processing the data on behalf of the client. In a self-managed Odoo Community installation by ConnectPBS on AWS servers, the responsibility for the operation and security of the infrastructure falls on ConnectPBS, which acts as a subcontractor, and the client remains the ultimate responsible party (controller) for the data. In both cases, however, the technical and organizational security and confidentiality measures described here contribute to ensuring compliance with GDPR requirements, protecting personal data against unauthorized access, misuse, loss, or improper disclosure.

8. Technical Support, Updates, and Service Level Agreement (SLA)

8.1. Technical Support: ConnectPBS commits to providing technical support to the Client regarding the use of AbsolutHR. Standard support will be provided in business hours (time of Continental Portugal, on business days), through designated channels such as email support, ticket system or support chat on the Client portal, as per availability and indication provided to the Client. Support includes clarification of questions about functionalities, guidance on initial setup, and resolution of any technical or performance issues of the platform. ConnectPBS will make efforts to respond to and resolve support tickets within reasonable timeframes, according to the criticality of the reported issue (for example, critical issues or service interruptions may receive priority attention, aiming for resolution or mitigation in the shortest possible time). In situations of severe service unavailability, support will be activated urgently, regardless of the time, to restore normal operation.

8.2. Updates and Improvements: AbsolutHR will receive periodic updates provided by ConnectPBS, which may include bug fixes (bug fixes), security patches and performance or usability improvements, as well as new functionalities. A large part of these updates results from continuous improvements of Odoo and the development of ConnectPBS on the platform itself. ConnectPBS reserves the right to implement version updates in the cloud of AbsolutHR as needed, ensuring, whenever possible, that such updates do not disrupt service continuity or cause data loss. When significant or potentially incompatible changes are introduced, ConnectPBS will seek to notify the Client in advance, providing relevant information (e.g., release notes or recommended configuration actions). The Client agrees to cooperate in implementing relevant updates, especially security updates, also committing to keep their systems (such as browsers and access devices) updated and compliant with the technical requirements of AbsolutHR.

8.3. Availability and Scheduled Maintenance: ConnectPBS strives to keep AbsolutHR available at a high level of performance and reliability. The normal operation of the service is on a 24 hours a day, 7 days a week. However, the Client acknowledges that temporary unavailability periods may occur for preventive maintenance, system updates, or emergency technical interventions. Whenever possible, scheduled maintenance will be communicated to the Client in advance and scheduled for times of lower impact (e.g., outside local business hours). Minor interruptions or performance degradation may also occur due to external factors (such as Internet network failures, fortuitous events, or force majeure) or due to urgent security implementations – in such cases, ConnectPBS will make efforts to restore normalcy as quickly as possible.

8.4. Service Level Agreement (SLA): In addition to this contract, a Service Level Agreement (SLA) formalizing the quality and availability standards of the platform. Unless otherwise specified in a specific contract, ConnectPBS adopts a minimum monthly availability performance objective of 99.9% (uptime), in alignment with the SLA of the Odoo infrastructure used. This availability target excludes periods of previously communicated scheduled maintenance or force majeure causes. Although it strives to consistently exceed this service level, ConnectPBS cannot guarantee the absence of occasional interruptions. Any failure resulting in significant service unavailability, provided it is caused by factors controllable by ConnectPBS, may give rise to the compensation mechanisms provided in the SLA (for example, proportional credits on future invoices, according to the percentages and conditions described in the applicable SLA). Outside the circumstances covered by the SLA, ConnectPBS will not be responsible for access failures resulting from causes beyond its reasonable control (for example, the Client's own connection issues, internet outages, downtime in third-party services, force majeure cases, etc.).

8.5. Limited Warranty: ConnectPBS guarantees that it will strive to provide services in accordance with usual professional standards and as described in this contract. However, except as expressly provided in these Terms, no other warranties, conditions, or representations are given regarding AbsolutHR. In particular, the Provider does not guarantee that the software will be completely free of errors or defects, or that will meet all specific requirements of the Client, or that will operate without interruptions under all circumstances. Any implied warranties of quality, fitness for a particular purpose, or non-infringement of rights will only apply to the extent that they cannot be legally excluded.

8.6. Odoo Community vs Enterprise: Security Guarantees and SLA (AWS Environment):  The following is a summarized comparison of the main security guarantees and service levels between the Community version of Odoo (implemented and managed by the organization or partner, e.g. on AWS infrastructure) and the Enterprise version of Odoo (typically associated with the official cloud service of Odoo, with hosting managed by Odoo S.A. – Odoo Online/Odoo.sh). This comparison focuses on aspects of data security, compliance, and SLAs in each scenario:

AspectOdoo Community (Self-managed on AWS)Odoo Enterprise (Odoo Cloud official SaaS)
Data IsolationDedicated databases for each client, isolated from others. Implementation depends on the partner or the internal IT team, following Odoo practices of separating each client/instance into its own database and applying appropriate access rules [odoo.com].Dedicated databases per client, isolated by design in the Odoo Cloud infrastructure [odoo.com]. Odoo ensures complete logical isolation between client instances in the same cluster, preventing cross-access.
Access ControlOperator's responsibility (partner/client): Configuration of users, profiles, and permissions in Odoo according to client needs. Odoo Community offers the same security mechanics (groups, record rules, etc.) as the Enterprise version [odoo.com], [odoo.com]. It is the administrator's responsibility to ensure configurations align with the principle of least privilege.Managed by Odoo: Application-level access policies are integrated into the solution. Odoo applies security patches to the software and provides updates that reinforce access controls when necessary. Both editions share the same core security of Odoo, including protection against common vulnerabilities (SQL Injection, XSS, CSRF, etc.) [odoo.com], [odoo.com].
Encryption in TransitManual configuration required: Requires the implementation of SSL/TLS certificates (e.g., via AWS Certificate Manager or configuring a reverse Nginx/Apache proxy) to enable HTTPS. With good practices, it is possible to achieve the same level of security (TLS 1.2+ with 256-bit cipher and 2048-bit certificates) as the official cloud oficial [odoo.com], [odoo.com].Enabled by default: All communications in Odoo Cloud are via HTTPS with 256-bit TLS and 2048-bit certificates, configured by Odoo itself [odoo.com]. End-to-end encryption covers both client-server traffic and internal traffic between Odoo servers [odoo.com].
Encryption at RestAvailable via AWS: Must be enabled by the operations team (e.g.: use of encrypted EBS volumes, RDS databases with encryption enabled, keys managed via AWS KMS). ConnectPBS adopts AES-256 encryption for all stored data and backups, as recommended [odoo.com].Enabled by default: Customer data in Odoo Cloud (databases and stored files) is encrypted with AES-256 on all production and backup, without customer intervention [odoo.com], [odoo.com].
Backups & RetentionPolicy defined by the operator: ConnectPBS implements a backup policy inspired by Odoo practices – typically 14 backups (7 daily, 4 weekly, 3 monthly) with retention ≥ 3 months and geographically redundant storage across multiple data centers AWS [odoo.com]. The restoration and testing of backup are the responsibility of the operator, with documented procedures for disaster recovery.Guaranteed standard policy: Odoo Cloud automatically performs 14 backups per database (7 daily, 4 weekly, 3 monthly), retained for ≥ 3 months [odoo.com]. The backups are replicated in ≥ 3 data centers (at least 2 continents) and include copies in immutable storage [odoo.com]. Odoo routinely monitors and tests the backups, providing clients with the ability to download backups at any time [odoo.com].
Disaster Recovery
(RPO/RTO)
Dependent on the operator's planning: With a well-architected deployment in AWS (e.g.: instances in multiple Availability Zones, frequent snapshots and recovery scripts), it is possible to achieve RPO ~24 h and RTO < 24 h in severe disaster scenarios, according to objectives aligned with Odoo practices [odoo.com]. ConnectPBS defines and meets appropriate RPO/RTO through DR (Disaster Recovery) procedures that are periodically tested.Odoo's public commitment: Odoo sets objectives of RPO = 24 h and RTO = 24 h in its SLA for data center disasters [odoo.com]. For isolated server failures, the Odoo Cloud has high availability and automatic failover, aiming to restore service in ~6 hours with near-zero data loss [odoo.com]. These recovery objectives guide Odoo's internal procedures (although they are not absolute legal guarantees) [odoo.com].
Monitoring & PatchingOperator's responsibility: Monitoring of AWS resources (instance metrics, logs of the system and application) and implementation of security patches and Odoo updates depend on the IT team/partner. ConnectPBS follows Odoo's best practices by proactively applying security patches to the OS and official Odoo updates to mitigate known vulnerabilities.Managed by the provider: Odoo team performs 24x7 monitoring of the infrastructure and applies security patches to the Linux operating system and Odoo updates automatically or on a scheduled basis [odoo.com]. The customer benefits from regular application updates (including hotfixes security) and continuous monitoring without manual effort. Audits and pentests independent to Odoo Cloud are periodically conducted by third parties, with Odoo promptly addressing any security findings [odoo.com], [odoo.com].
Network Protection
(Firewalls, DDoS)
Custom configuration on AWS: Use of Security Groups, Network ACLs and Web Application Firewalls (AWS WAF) as needed to filter malicious traffic. AWS provides robust defense against DDoS at the infrastructure level (e.g., AWS Shield, global distribution network) and ConnectPBS can integrate auto-scaling and load balancers to absorb traffic spikes [odoo.com].Built-in protections: Odoo Cloud operates in data centers with high bandwidth and advanced anti-DDoS mechanisms, capable of mitigating volumetric attacks before they affect the service [odoo.com]. Odoo servers are protected by firewalls and intrusion prevention systems managed by Odoo, as well as rate limiting and configurable CAPTCHAs at the application level to stop brute force attacks [odoo.com].
Odoo-Managed Controls: Odoo S.A. certifies that its cloud operations comply with the GDPR and adhere to leading security standards. Odoo Cloud holds the CSA STAR (Cloud Security Alliance) certification, and its data centres are Tier III certified. Odoo implements privacy by design and privacy by default principles, ensuring that the personal data of all customers is afforded the same level of protection. When Odoo Online is used to process the personal data of EU citizens, Odoo acts as a data processor and provides a Data Processing Addendum (DPA) aligned with the GDPR, including Standard Contractual Clauses (SCCs) for international data transfers.

9. Responsibilities and Limitations of ConnectPBS

9.1. Provision of Service: ConnectPBS is committed to making its best efforts to provide AbsolutHR securely and as specified in this contract. However, the Client understands and accepts that AbsolutHR is provided “as is” (as is, as made available by ConnectPBS and the underlying technology platform (Odoo). In this sense, ConnectPBS does not guarantee that the service will meet all of the Client's specific needs, nor that the platform will operate uninterrupted or free of errors in all environments and scenarios, despite all precautions taken to minimize failures.

9.2. Exclusion of Indirect Damages: Within the limits permitted by law, ConnectPBS will not be liable to the Client for indirect, special, incidental, or consequential damages, including losses such as loss of profits, revenues, business, goodwill, interruption of activity, loss of data, or costs of obtaining substitute services, resulting from or related to the use or inability to use AbsolutHR, even if ConnectPBS has been advised of the possibility of such damages. This exclusion covers any claim based on contract, tort, negligence, or other legal grounds.

9.3. Limitation of Direct Liability Amount: In the event of a breach of ConnectPBS's duties or proven tort liability of ConnectPBS for direct damages suffered by the Client in relation to the use of AbsolutHR, the the total and aggregate liability of the Supplier shall be limited to the amount corresponding to the sums actually paid by the Client for the services of AbsolutHR in the 12 (twelve) months prior to the event that gave rise to the liability. If the period since the start of the contract is less than 12 months, the limit will be calculated based on pro rata monthly payments up to the date of the event. This clause is not intended to limit liability in cases of willful misconduct or other situations where the law prevents the exclusion or limitation of liability. The Client acknowledges that the amounts paid for the subscription to the service reflect this distribution of risks and the present limitation of liability.

9.4. External Events and Force Majeure: ConnectPBS shall not be liable for failures to comply with its contractual obligations resulting from circumstances beyond its reasonable control, such as natural disasters, labor disputes, government actions, power or telecommunications failures, unpredictable or unavoidable third-party cyberattacks, or other force majeure events. In such situations, the affected obligations will be suspended for the period during which the uncontrollable event persists. ConnectPBS commits, however, to make reasonable efforts to mitigate the effects of the force majeure event and to resume normal services as quickly as possible.

9.5. Legal Responsibilities Not Excluded: No provision of these Terms shall be interpreted as excluding or limiting the liability of either party in situations where the applicable law prohibits such exclusion or limitation, including, but not limited to, cases of fraud, deceit, death or personal injury caused by gross negligence of the responsible party, or deliberate violation of the law.

10. Customer Obligations and Indemnification

10.1. Compliance and Reimbursement: The Customer agrees to use AbsolutHR in strict compliance with these Terms and applicable law. The Customer agrees to indemnify and hold harmless ConnectPBS, its directors, employees, and partners from any losses, liabilities, costs, and expenses (including reasonable attorney's fees) resulting from claims, actions, or proceedings by third parties arising from: (a) the use of AbsolutHR by the Customer or its Users in an unauthorized manner or contrary to these Terms; (b) violation by the Customer of any third-party rights or the law (for example, using software for practices that violate data protection or intellectual property laws); or (c) breach of the Customer's contractual obligations, including the insertion of illegal content or data into the system or the misuse of personal information of employees. The Customer will be responsible for defending ConnectPBS, at its request, in any legal or administrative proceedings related to such claims, bearing the damages owed to third parties if ConnectPBS is found liable or settles due to an act or omission attributable to the Customer.

10.2. Duty of Cooperation and Accurate Information: The Customer agrees to provide accurate and up-to-date information to ConnectPBS when requested (for example, billing data, number of users or employees for licensing, etc.), and to cooperate in good faith with the Supplier for the proper execution of the contract. The Client must notify ConnectPBS of any relevant changes in their situation that may affect this contract, such as changes in the corporate name, billing contacts, significant changes in the number of users requiring licensing, or security incidents related to the use of AbsolutHR. Furthermore, the Client must promptly inform ConnectPBS if they become aware of any unauthorized use of the software or security breach related to their account, in order to allow the Supplier to take the necessary mitigation measures.

10.3. Client's Internal Policies: In addition to these Terms, the Client must observe and ensure that Users observe the internal policies of their organization in the use of AbsolutHR (for example, acceptable use policies for IT resources, information security policies, employee data protection policies, etc.). ConnectPBS will not be responsible for monitoring compliance with the Client's internal policies, with the Client being entirely responsible for configuring AbsolutHR in accordance with such policies (to the extent that the software allows customizations) and for taking appropriate disciplinary measures in case of misuse of the platform by their employees.

10.4. Default and Applicable Measures: The Client commits to timely pay the amounts due for the subscription and any other services that may be contracted. The absence of payment within the established deadline constitutes contractual default and authorizes ConnectPBS to suspend the Client's access to AbsolutHR if the default is not remedied within a reasonable time after notification (typically, 15 days after the payment delay notice). If the Client remains in default for more than 30 days after the invoice due date, ConnectPBS may proceed to terminate the contract for breach and permanently deactivate the Client's access to the platform, without prejudice to the collection of overdue amounts plus the late fees allowed by law. The Client will remain responsible for any amounts due until the effective date of termination and, if applicable, for any losses and damages resulting from the breach of contract.

11. Plans, Prices, Payments, and Cancellation

11.1. Subscription and Licensing Plans: The services of AbsolutHR are provided through subscription plans for software, which may vary according to the number of employees (or “active users”) and the functionalities/modules included, as agreed in the commercial proposal or specific contract signed with the Client. The plans may be monthly, annual, or for another defined period, and the price is set based on the number of licensed users and the chosen options, according to the current table or private negotiation. ConnectPBS will provide the Client with detailed information about the costs of each plan before contracting, including any applicable discounts or promotional conditions, and such amounts will be confirmed in the invoice or contract.

11.2. Billing and Payment Terms: Unless otherwise specified, ConnectPBS will issue invoices according to the frequency of the selected plan (for example, monthly or annually, in advance). Payments must be made by the Client within the timeframe defined in the invoice or in the contract (typically 30 days from the invoice date, unless another period is specified). The amounts due are presented without VAT (Value Added Tax) or other applicable taxes, which will be added according to the current tax legislation and detailed in the invoice. Payments may be made by the methods provided by ConnectPBS, such as bank transfer, SEPA direct debit, credit card, or other indicated electronic methods. Any bank charges or international transfer fees will be the responsibility of the Client, in order to ensure that ConnectPBS receives the full net amount invoiced.

11.3. Late Payment and Service Suspension: In case of delay or non-payment, ConnectPBS may send collection notices to the Client. If an invoice remains outstanding for more than 30 (thirty) days after the due date, ConnectPBS reserves the right to suspend the Client's access to AbsolutHR until overdue payments are regularized, notably if at least one formal collection notice has already been sent to the Client without effect. The suspension of service due to default does not exempt the Client from the responsibility of paying the amounts due and to become due related to the contract. After 60 (sixty) days of default without resolution, ConnectPBS may consider the contract terminated due to the Client's non-compliance, invoking clause 9.4 above, with the consequent permanent deactivation of access to the system and the adoption of appropriate legal measures for the collection of the amounts owed.

11.4. Duration of the Contract and Renewal: Unless otherwise agreed, this contract comes into effect on the date of subscription of AbsolutHR by the Client (or on the date stipulated in the service order) and will remain in effect for the chosen initial period (for example, 1 year in the case of annual subscription; or 1 month in the case of monthly subscription), renewing automatically for equal successive periods at the end of each contractual period. The Client may choose not to renew the subscription, provided that they notify ConnectPBS in writing at least 30 (thirty) days before the next renewal date (in the case of annual or longer plans) or, in the case of monthly plans, at least 15 (fifteen) days in advance of the next monthly cycle. Failure to express within this period will imply automatic renewal and consequent enforceability of the fees corresponding to the new period. ConnectPBS reserves the right to adjust the subscription fees for subsequent periods, notifying the Client of such adjustments in advance (normally, at least 60 days before the next annual renewal). If the Client does not agree with the new values or conditions, they may exercise the right not to renew under the terms of this clause, thus avoiding the application of the changes in the following period.

11.5. Cancellation and Refund: The Client may terminate this contract at any time, by providing written notice to ConnectPBS with the advance notice indicated in the previous clause. Upon receipt of this notification, ConnectPBS will confirm the scheduling of the cancellation at the end of the already paid service period or, if agreed, on an earlier date. As a rule, no proportional refunds of amounts already paid for the ongoing subscription at the time of cancellation are made (for example, if the Client chooses to cease using the service before the end of the already paid month or year, they will not be entitled to a refund for the remaining days). In exceptional cases, at the sole discretion of ConnectPBS, credits or pro-rata refunds may be granted, especially if the early termination is due to an unresolved service failure attributable to ConnectPBS.

After the effective date of termination or cancellation, the Client and Users' access to AbsolutHR will be disabled. As provided in clause 5.8, the Client must arrange for the extraction of their data before or immediately after cancellation. ConnectPBS will have no obligation to retain the Client's data beyond the timeframes established in the data protection provisions of this contract. It is emphasized that the payment obligations for amounts already due and the clauses of this contract intended to remain in effect after termination (such as confidentiality and limitations of liability) will survive termination.

12. Final Provisions

12.1. Changes to the Terms and Conditions: ConnectPBS may modify or update these Terms and Conditions periodically to reflect service improvements, legal or regulatory changes, or other justifiable reasons. Any changes will be made available to the Client (for example, through registered email communication or a prominent notice on the platform). Substantial modifications will take effect at least 30 (thirty) days after notification, unless a legal requirement necessitates immediate application. Continued use of AbsolutHR after the changes take effect constitutes acceptance of the modified Terms. If the Client does not agree with the updated terms, they must notify ConnectPBS before the effective date of the changes, and may choose to cease using the service on the date the new conditions take effect, without additional penalties beyond the proportional payment due up to that date.

12.2. Assignment and Subcontracting: The Client may not assign to third parties the rights and obligations arising from these Terms without the prior and express consent of ConnectPBS, except in the case of internal corporate reorganization of the Client's business group that does not involve a change of actual control, and provided that ConnectPBS is informed in writing in advance. ConnectPBS may freely assign its contractual position to affiliated or successor companies, or subcontract the fulfillment of specific parts of this contract to third parties, remaining, however, responsible to the Client for the full compliance with the subcontracted obligations.

12.3. Independence and Absence of Partnership: The parties are independent and no partnership, joint venture, agency relationship, representation, or employment relationship is established between ConnectPBS and the Client through this contract. Each party will act at its own risk and account in fulfilling its contractual obligations.

12.4. Partial Invalidity: If any provision of these Terms is considered null, invalid, or unenforceable by a competent authority, such invalidity or unenforceability shall not affect the validity of the other clauses. The provision in question shall, whenever possible, be interpreted in a way that reflects the original intent of the parties, to the maximum extent permitted by law, and if necessary, the parties will negotiate in good faith a valid wording that preserves the commercial purpose of the original provision.

12.5. Governing Law and Dispute Resolution: This contract shall be governed by the laws of the Portuguese Republic, including the directly applicable European regulations (such as the GDPR in the context of data protection). Any dispute arising from the interpretation or execution of these Terms that is not resolved amicably will be submitted to the exclusive jurisdiction of the courts of Portugal, preferably in the district of the ConnectPBS headquarters, unless another specific jurisdiction is imperatively required by law (for example, due to the location of the consumer/Client, if applicable). Before resorting to legal proceedings, the parties agree to make reasonable efforts to resolve any controversy extrajudicially, through good faith negotiation within a period not exceeding 15 (fifteen) days after written notification of the dispute by one party to the other.

12.6. Completeness of the Agreement and Waiver: These Terms constitute the entirety of the agreement between ConnectPBS and the Client regarding the use of AbsolutHR, replacing any prior understandings or agreements on the same subject. The eventual non-enforcement, by either party, of the compliance with any provision of these Terms, or the tolerance of contractual breaches by the other party, shall not be considered a waiver of rights, and the aggrieved party may demand full compliance with the contract at any time. Any waiver of rights or agreement to amend these Terms shall only be valid if made in writing and signed by authorized representatives of both parties.

Acceptance Statement: The Client declares that they have read carefully and understood all the above terms, and agrees to submit to the present conditions in the use of AbsolutHR.

ConnectPBS – AbsolutHR thank you for your trust. We are committed to providing a safe, effective service that complies with legal standards, and we rely on the Client's cooperation in adhering to these Terms to ensure the success of our partnership.

General Terms and Conditions of Service Provision – ConnectPBS

Last update of these General Terms and Conditions: February 15, 2026

This document establishes the General Terms and Conditions of Service Provision (hereinafter referred to as “Terms”) applicable to contracts entered into between Connect PBS, a brand of the company "ABSOLUTELY POETIC" (hereinafter “ConnectPBS” or “Provider”) and its Clients, regarding the provision of various professional services offered by ConnectPBS.

The use or hiring of any service from ConnectPBS implies careful reading and full acceptance of these Terms, as well as our Privacy Policy. By hiring or using the services of ConnectPBS, the Client declares that they have read, understood, and unreservedly accept these Terms. If the Client does not agree with any provision herein, they should refrain from hiring or continuing to use the services of ConnectPBS. These Terms, along with the Privacy Policy and any specific conditions agreed upon in writing for specific services, constitute the integral agreement between ConnectPBS and the Client, prevailing over any other understandings or contracts, written or verbal, previously made between the parties regarding the same subject. The person who accepts these Terms on behalf of the Client, or who enters into the service contract with ConnectPBS, guarantees to have sufficient authority to bind the Client to all obligations set forth herein.

1. Presentation and Scope

These Terms generally apply to all services provided by ConnectPBS – namely, digital accounting, consulting and technological support (including services on platforms such as Odoo, AbsolutHR), professional training (which may be provided in partnership with certified entities), technical software development and process automation, creation of websites and online stores, development of Artificial Intelligence (AI) and Robotic Process Automation (RPA) solutions, payroll processing and personnel management, support for the nationalization and integration of non-resident employees, management of partnerships and commissioning of complementary services (mandatory insurance, health and safety at work, social benefits, licensing software, etc.), among other business services. This list of services corresponds to those currently offered by ConnectPBS, but services may be added or removed in the future – any additional services that may be offered (or discontinued services) will be subject to these General Terms and Conditions, unless governed by specific terms.

2. Object of the Contract and Digitalization of Services

ConnectPBS undertakes to provide the contracted services by the Client in accordance with the conditions and scope defined in the respective contract or accepted proposal, in strict compliance with the legal and regulatory standards applicable to such services and in accordance with the required technical and quality standards.

By default, the services will be performed digitally/remotely, from the ConnectPBS facilities, using online collaboration platforms (such as videoconferencing, secure remote access to Client systems, digital accounting tools, etc.), unless otherwise agreed in the specific case. If the provision of any activity is necessary at the Client's location (for example, in-person training at the Client's facilities, physical collection of documentation, or consulting that requires travel), the parties will agree in advance on the details of that intervention (including any scheduling, duration, and reimbursement of travel expenses).

3. Obligations of the Parties (Client and Supplier)

3.1 Client's Obligations: the Client commits to actively collaborate with ConnectPBS to enable the proper provision of services. In particular, the Client must provide completely, reliably, and in a timely manner all documents, data, access, and information that ConnectPBS reasonably requests for the execution of the contract. For example, documents and supporting elements accounting and tax (invoices, receipts, bank statements, expense justifications, etc.) related to each month must be delivered by, preferably, the 10th day of the following month, or within the timeframe agreed upon by both parties, in order to fulfill the declarative obligations within the legal deadlines. The Client assumes full responsibility for the truthfulness and completeness of all data and documents provided, assuming that these accurately reflect reality of its operations and its financial, accounting, and tax situation. The Client acknowledges that ConnectPBS has no obligation to audit or thoroughly verify the authenticity of the documents received, limiting itself to working on the elements provided to it. Thus, any negative impact resulting from incorrect, incomplete, or late documentation provided by the Client will be the Client's own responsibility. Furthermore, the Client commits to fulfilling its legal and regulatory obligations that may be necessary for the provision of services (for example, registration on government platforms, obtaining necessary certifications, providing consent statements for the processing of personal data, etc.).

3.2 Obligations of ConnectPBS: the ConnectPBS (Supplier) undertakes to perform the services with professional diligence, using appropriate methods, qualified personnel, and all necessary resources to achieve the contractually intended results, in accordance with the best practices of their respective areas of operation. ConnectPBS will strictly adhere to the agreed deadlines for the delivery of work, except in cases of force majeure or dependence on actions from the Client (for example, waiting for essential information). In case of difficulty that may compromise a deadline or result, ConnectPBS will promptly communicate with the Client, suggesting solutions or adjustments. ConnectPBS must also keep the Client informed about the progress of service delivery and, when applicable, provide periodic reports or partial results for the Client's validation. In ongoing services, such as accounting and tax obligations, ConnectPBS will inform the Client about the assessed tax amounts, payment deadlines, and other commitments, so that the Client can plan for their timely fulfillment. ConnectPBS will provide all the additional clarifications that the Client requests, within reason, about the work performed or to be performed, in order to ensure total transparency in the contractual relationship. Both parties agree to respect, as applicable, the professional and ethical standards: ConnectPBS, in particular, will respect the codes of conduct and guidelines issued by the regulatory bodies of its activities (such as the OCC in the case of accounting), and the Client will comply with the legal provisions applicable to its activity and its relationships with the Supplier.

4. Conditions for Service Provision

ConnectPBS will provide the services in accordance with the contracted specifications and in line with the conditions defined in these Terms. In general, the services will be performed remotely, with ConnectPBS using its internal tools and systems – including certified accounting and management software, support platforms, and electronic communications – with interactions with the Client being made via the internet (videoconferences, email, phone) or in person, as needed. If a specific service requires the installation of software or configuration of the Client's systems, the Client will provide secure access and will be obligated to take the necessary actions (for example, installation of programs, creation of technical users, remote access authorizations) so that ConnectPBS can carry out the work. ConnectPBS must comply with the delivery deadlines and schedules agreed upon with the Client. If there is a risk of delay or a need for an extension, ConnectPBS will inform the Client in advance and justify the situation, proposing a new deadline. The Client, in turn, must be aware that certain delivery deadlines depend on the timely collaboration and provision of information by the Client itself (as per clause 3.1). The parties agree that situations of force majeure (fires, floods, severe disruptions in computer systems, labor conflicts, or other events beyond the reasonable control of the parties) may justify the extension of deadlines or the temporary interruption of services without constituting a breach, provided that the affected party notifies the other and makes efforts to resume normalcy as soon as possible.

5. Prices, Billing, and Payments

5.1 Prices and taxes: Unless otherwise stipulated in the specific conditions, the fees due by the Client to ConnectPBS for the provision of services will be those defined in the specific proposal or contract. The agreed amounts are considered globally compensatory for all activities and services described within the scope of the contract. The prices are presented in euros (€) and include VAT at the legal rate in force (unless expressly indicated as “plus VAT” in the proposal). Any tax or fiscal charge due on the services (present or future) will be passed on to the Client in accordance with the law. In the case of ongoing services (e.g., monthly accounting), a periodic fixed price may be agreed; for project or short-term services, a fixed price for the entirety of the service or a schedule of hourly/daily rates may be indicated.

5.2 Invoicing and payment terms: ConnectPBS will issue invoices corresponding to the services provided, according to the defined frequency and conditions. As a general rule, invoicing is monthly, with the issuance of an invoice at the end of each month of service provision, but different models may exist (for example, initial payment of a deposit, followed by phased payments based on project milestones, or invoicing every 15 days, etc., as agreed). Invoices will be sent to the Client preferably electronically (email) or made available on a digital platform. Unless otherwise stated in the invoice or contract, invoices are due 8 (eight) days after the date of issuance. The Client is obliged to pay the issued invoices promptly, which can be done by bank transfer (using the IBAN details provided in the invoice) or another previously agreed method.

5.3 Late payment and interest: In case of delay in payment, the Client incurs in default starting the day after the due date of the invoice, without the need for notice or demand. In this circumstance, ConnectPBS may charge default interest at the maximum legal rate applicable to commercial transactions (calculated in accordance with Decree-Law No. 62/2013, of May 10, or legislation that replaces it) on the amount owed, with interest calculated daily until actual payment. Furthermore, in accordance with the law, the Client may owe ConnectPBS a compensation for the cost of debt collection (currently a fixed amount of €40, under Article 7, No. 1 of the aforementioned law, without prejudice to the right to compensation for any additional justified costs).

5.4 Accessory expenses: Some services may involve additional expenses, such as, for example, travel not included in the original budget, accommodation expenses, shipping costs for physical documentation, notary fees, costs for authentications or certifications, third-party software licenses necessary for the project, etc. ConnectPBS will inform the Client in advance if it is necessary to incur any extra expense essential to the performance of the services. These expenses will be charged to the Client upon presentation of receipts whenever possible, and itemized on the invoice (or billed separately, if justified by the circumstances). Exceptionally, if it is necessary to adopt costly contingency solutions to fulfill the purpose of the contract (for example, urgent hiring of external services due to unforeseen events), ConnectPBS will coordinate these actions with the Client and obtain their consent regarding the costs.

5.5 Additional services and scope change: Any provision of services not included in the initial scope of the contract must be negotiated separately. If, during the relationship, the Client requests the performance of additional tasks or deliverables that are not covered by the purpose of the contract, or a significant modification of the scope of services, ConnectPBS will present the Client with a proposal for contract revision (related to deadlines and prices) to accommodate these changes. Only after the written acceptance of the new terms by the other party will ConnectPBS be bound to their execution. In the absence of an agreement regarding requested extra services, ConnectPBS reserves the right not to perform them, with the original contract regarding the initially defined scope remaining in effect.

6. Breach and Contract Termination

6.1 Breach by the Supplier (ConnectPBS): In the event of serious breach of obligations by ConnectPBS, namely unjustified failure to meet essential deadlines, repeated defective performance of services despite Client notifications, violation of confidentiality duties, or any other faults that undermine the purpose of the contract, the Client has the right to terminate the contract for just cause, immediately, without prejudice to the right to be compensated under general terms. The termination for just cause by the Client must be communicated in writing (see clause 10) and takes effect on the date of its receipt or another date mentioned in the communication. In this case, the Client is not obliged to pay for services not performed (or for the part not executed of a partially completed service) and may demand compensation for damages proven to have been suffered due to the breach.

6.2 Breach by the Client: The late payment of any amount due, the repeated failure to collaborate (for example, repeated failure to provide essential data for the service) or another serious violation of the contractual obligations by the Client grants ConnectPBS the right to terminate the contract for just cause, with immediate effect by written communication to the Client. ConnectPBS will make efforts to notify the Client of the breach in advance and grant a reasonable period to remedy it whenever the nature of the violation allows (for example, granting a few days to regularize a late payment), except when such repeated breach makes the continuation of the contract unjustifiable. The termination for just cause by ConnectPBS does not prejudice the right to receive from the Client all amounts owed up to the date of termination (including services already provided and not paid, late payment interest, and compensation for breaches). After termination, ConnectPBS will have no obligation to continue the provision and will be exonerated from any liability for any negative consequences arising from the interruption of services, provided that this has resulted from the Client's default.

6.3 Termination Procedure and Communication: The party invoking just cause to terminate the contract must do so in writing, briefly explaining the facts that motivate the termination. No notice period is required for termination with just cause; however, the party that fails to comply with the contract may be held liable for damages caused to the other party as a result of that non-compliance, under the law.

7. Duration of the Contract and Termination

Unless otherwise agreed in specific conditions, this contract comes into effect on the date of its signature (or another date indicated therein) and is valid for an indefinite period with a minimum initial term until the end of the current fiscal year (that is, until December 31 of the year in which the contract begins). After this initial period, the contract is automatically considered renewed for successive periods of 1 (one) year, corresponding to the calendar year, unless either party terminates it as set forth below.

7.1 Termination (non-renewal) by the Client or by ConnectPBS: Either party may terminate the contract at the end of the current period, by providing written notice at least 60 (sixty) days in advance in relation to the contract termination date (in case of notice of the initial period) or the renewal in effect. The notice should preferably be made by registered letter with acknowledgment of receipt or another equivalent written means that ensures receipt by the other party. Failure to comply with this notice period will render the notice untimely and ineffective to prevent the immediate renewal of the contract, considering the contract automatically renewed. Alternatively, the parties may, by mutual agreement, stipulate a different notice period or the early termination of the contract on a date defined by both.

7.2 Compensation for lack of prior notice: If one of the parties wishes not to renew the contract but does not comply with the 60-day advance notice period, the other party is entitled to be compensated for the damages resulting from the unwanted renewal. It is hereby agreed that, in the absence of such timely notice: (i) if it is the Client who fails to respect the prior notice, they must pay ConnectPBS, as a penalty clause, an amount equivalent to the fees due for the 60-day period (or for the missing notice period, if shorter), as compensation; (ii) if it is ConnectPBS that fails to respect the prior notice, it is obliged to continue providing services to the Client for the 60 days following the moment when the notice should have been communicated, or to compensate the Client in an amount equivalent to the cost incurred to obtain equivalent services during that period.

7.3 Other forms of termination: In addition to termination for just cause (Clause 6) and the notice as stated above, the contract may cease by written agreement between the parties (resolution by mutual consent) or for other legally provided reasons. In any case of termination of the contract, the Client agrees to pay for the services already provided by ConnectPBS up to the date of termination (if not yet paid) and ConnectPBS will return to the Client the documents and assets of the Client that it holds, in accordance with the Client's instructions.

8. Confidentiality

Both parties agree to keep confidential all information obtained in the scope of the contract that is not publicly known. In particular, ConnectPBS agrees, without prejudice to what is already provided in 3.2 and 12.1, not to disclose or appropriate any trade secrets or confidential information of the Client (including, but not limited to, financial data, strategies, inventories, client and supplier lists, business plans, software, access credentials, technical documents, specific know-how) to which it has access during the term of the contractual relationship, nor to allow its employees or subcontractors to do so, except with the express authorization of the Client. This duty of confidentiality remains during the contract and after its termination, until such information becomes legitimately public or the Client releases ConnectPBS from this commitment. On the other hand, the Client will also maintain confidentiality regarding any reserved or sensitive information related to ConnectPBS or the services provided (for example, agreed commercial conditions, exclusive methodologies of the Supplier), except to the extent necessary for the proper use of the services or if disclosure is required by law or court order.

9. Personal Data Protection (GDPR)

In the context of providing certain services, ConnectPBS may process Personal Data on behalf of the Client (for example, data of employees, candidates, clients, or suppliers of the Client). In such cases, and whenever ConnectPBS acts under the Client's instructions in the processing of personal data, the parties agree to comply with the provisions of the Regulation (EU) 2016/679 (GDPR) and other national legislation on data protection. The Client assumes the role of Data Controller and ConnectPBS the role of Processor (Subcontractor). Thus, ConnectPBS undertakes to:

  • Follow only the documented instructions of the Client in the processing of personal data, not carrying out any processing for its own purposes or purposes other than those contracted.
  • Ensure that the personal data of which it is aware in the scope of the services are processed by individuals subject to confidentiality obligations, whether employees linked to ConnectPBS or authorized subcontracted collaborators.
  • Implement the appropriate technical and organizational security measures to protect personal data against destruction, loss, alteration, disclosure, or unauthorized access. These measures will include (among others) restricted access controls, data encryption whenever applicable, secure storage of documentation, and periodic backups of working databases, in accordance with best practices and the requirements of the GDPR.
  • Do not subcontract the processing of personal data to third parties without prior authorization from the Client. If the Client authorizes or if such subcontracting is necessary (for example, using cloud services to store data or delegating a specific task to a specialist partner), ConnectPBS will contractually ensure that the subcontractor complies with the same data protection obligations set forth herein. ConnectPBS will remain fully responsible to the Client for compliance with these obligations.
  • Assist the Client in fulfilling the requests of data subjects as applicable (for example, providing information or tools for the Client to respond to requests for access, rectification, or deletion of personal data), as well as collaborating with the Client in complying with other requirements of the GDPR, such as privacy impact assessments, notifications of personal data breaches to supervisory authorities, or prior consultations, if required.
  • Delete or return to the Client all personal data processed on behalf of the Client, once the provision of services has ended, according to the Client's expressed preference. If the Client does not indicate otherwise, ConnectPBS will securely delete the Client's personal data from its working databases within a maximum of 60 days after the end of the contract, except for data that must be retained by legal requirement (for example, accounting records containing personal data, which must be kept for a period of 10 years due to tax obligations).
  • Provide the Client with the necessary elements for them to audit compliance with the obligations set forth in this clause, allowing for the conduct of audits or inspections regarding the data processing carried out on behalf of the Client, upon request with reasonable prior notice and provided that such audits do not conflict with ConnectPBS's confidentiality obligations to other clients or with the security of third-party systems.

The Client, as the Data Controller, ensures that it has a valid legal basis (e.g.: consent of the data subjects, compliance with a legal obligation, contractual execution, legitimate interest, etc.) for the personal data that it instructs ConnectPBS to process, committing to comply with the legal obligations that are incumbent upon it (for example, providing the necessary information to the data subjects about ConnectPBS's involvement as a subcontractor). The Client authorizes ConnectPBS to adopt the necessary internal security and organizational measures to comply with these obligations (for example, implementing restricted access policies to the Client's data within ConnectPBS).

For more information on how your personal data is processed or for complaints regarding its use, please contact via email: dpo@connectpbs.com

10. Contractual Changes and Communications

Any amendment or addition to this contract will only be valid if it is made in writing and signed by both parties (for example, in the form of a contractual addendum or an unequivocal exchange of written correspondence). Without prejudice to the above, ConnectPBS may propose changes to certain contractual conditions (including price adjustments, changes in service delivery modalities, etc.) when circumstances justify it – for example, in the case of relevant legislative changes, significant variations in operational costs, or updates to the service offering.

10.1 Communication of proposed changes: Any change proposed by ConnectPBS will be communicated in writing to the Client with a minimum notice of 60 (sixty) days prior to the expected date of its entry into force (preferably coinciding with the start of a new service period or contractual renewal). The communication will specify the content and reason for the intended changes.

10.2 Client's right to oppose: The Client has the right, up to 30 (thirty) days before the effective date of the proposed changes, to refuse the changes, and must communicate their non-acceptance in writing to ConnectPBS. In that event, the parties may negotiate alternative terms or the Client may choose to terminate the contract under the terms of clause 7, thus avoiding the application of those changes. If the Client does not expressly oppose the changes within the indicated period, it will be considered that they tacitly accept the proposed changes, which will take effect from the date indicated in the communication.

10.3 Form and validity of communications: Unless otherwise provided in this contract, all communications between the parties under this agreement – including notices of termination, cancellation, notifications of default or others – must be made in writing and sent to the addresses (address or email address) identified in this contract, or to any others that have been subsequently communicated for that purpose. It is recommended to use means that provide proof of delivery and reading (for example, registered letter with acknowledgment of receipt, or email with confirmation of receipt). Communications will be considered received on the date of signing the acknowledgment of receipt (in the case of registered letter) or on the date of response/acknowledgment of reading to the email (in the case of electronic mail).

 11. Disputes and Legal Expenses

This contract and any disputes arising from it are governed by the law of the Portuguese Republic. For the resolution of any disputes arising from the validity, interpretation, execution or termination of this contract that cannot be resolved amicably, the parties choose the competent judicial court of the district of Porto, with express waiver of any others, except for mandatory legal provisions that establish another jurisdiction, namely in the case of final consumer Clients (to whom the court of the consumer's domicile may apply, under consumer protection law).

In the event of recourse to judicial means, the winning party shall have the right to have the losing party bear the costs of the process and other expenses in which it incurred due to the litigation, including reasonable attorney fees and charges for executions or other collection procedures. Before resorting to the courts, the parties may consider means of alternative dispute resolution, such as mediation or arbitration, committing themselves, should they resort to such means, to make good faith efforts to reach a mutually acceptable out-of-court solution.

12. Special Obligations of ConnectPBS

12.1 Duty of confidentiality and discretion: ConnectPBS, its partners, employees, and subcontractors commit to keeping the utmost confidentiality regarding any confidential or proprietary information they become aware of during the course of this contract, as specified in clause 8. This duty also includes not using such information for personal benefit or that of third parties and not copying or reproducing Client documents without authorization. ConnectPBS will implement internal measures to ensure that this duty of confidentiality is strictly observed by its entire team.

12.2 Conflict of interest and ethical conduct: ConnectPBS declares that it is not aware, at the time of entering into this contract, of any situation of conflict of interest that prevents it from providing services to the Client in an impartial and unbiased manner. If, during the course of the contract, any potential conflict of interest arises (for example, a simultaneous project for a direct competitor of the Client in the same sensitive matter), ConnectPBS will immediately communicate this fact to the Client and agree on appropriate measures (such as assigning different teams or creating information barriers) to protect the Client's interests. ConnectPBS will conduct its activities in accordance with ethical principles and applicable legal standards, including, when relevant, those related to corruption, bribery, fair competition, and social responsibility.

12.3 No subcontracting without authorization: ConnectPBS will not subcontract third parties to fulfill the contracted obligations, except with prior written authorization from the Client for that purpose (as provided in clauses 3.2 and 12.1). When subcontracting is authorized, ConnectPBS will ensure that the subcontractor assumes and complies with all relevant obligations contained in these Terms (especially confidentiality and data protection) as if they were part of it, with ConnectPBS remaining fully responsible to the Client for that subcontracting.

13. Specific Clauses by Type of Service

Depending on the type of service contracted, the following additional specific conditions may apply:

13.1 Consulting, training, and technical development (Odoo/AbsolutHR): For business or technological consulting, as well as implementation of Odoo systems (including configurations of the AbsolutHR and other modules), will be detailed in a Project Plan or propose the tasks, deadlines, and specific deliverables. The Client must designate a project manager to interact with the ConnectPBS team, participate in kickoff and follow-up meetings, and provide all necessary information. ConnectPBS commits to developing and delivering solutions aligned with the agreed requirements (for example, configuration of Odoo modules according to the Client's needs, development of custom functionalities, etc.), and to correcting any non-conformities with the requirements identified by the Client during the testing phase, within the scope of the project. If included in the plan, ConnectPBS will provide training sessions for the Client's users, covering new implementations or consulting processes, and may issue participation certificates if requested (in the case of non-certified internal training).

13.2 Creation of websites and online stores (Odoo platform or others): In the development services of corporate websites or e-commerce stores, ConnectPBS will provide design, configuration, and programming services necessary to launch the Client's website or online store. The Client is responsible for providing the content (institutional texts, images, logos, product catalog and respective descriptions, etc.) and for obtaining any authorizations or intellectual property licenses related to that content. ConnectPBS will implement the site according to the agreed visual identity and functional requirements, using appropriate technologies (e.g., using the Odoo Website or eCommerce module, if applicable). A preview version of the site will be submitted to the Client for approval before its go-live. After publication, ConnectPBS will provide the Client with the website administration credentials and, if provided for in the contract, will conduct a short training on content management. From the go-live, the website update (insertion of new content, ongoing maintenance) will be the responsibility of the Client, unless a maintenance service or continuous assistance is contracted. The Client is responsible for complying with the legal obligations related to the website (such as the insertion of privacy policies, terms of use, information required by e-commerce law, etc.). ConnectPBS is not responsible for the content published by the Client on the website, nor for the commercial activities carried out by the Client through the online store, with ConnectPBS only being responsible for the technological structure and functionality of the website as delivered.

13.3 AI Developments for ERP (Odoo) and other applications: If the Client hires ConnectPBS to incorporate or develop functionalities of Artificial Intelligence in their business scope (for example, integrating AI engines into Odoo processes or other applications), ConnectPBS will analyze the technical feasibility and propose a concrete solution (such as using OpenAI GPT-4 APIs, models of machine learning customized, etc.). The Client will provide the necessary data and context to train or configure the AI, ensuring that this data can be legitimately used for such purposes (in accordance with GDPR and other applicable laws). ConnectPBS will implement the AI solution, testing it with real or simulated data, and will present the results to the Client for validation. The Client acknowledges that AI solutions provide predictions or suggestions based on probabilities and historical data, so it is recommended that the Client review and validate the AI outputs before making automated or definitive decisions based on them. ConnectPBS does not guarantee a specific infallible outcome from the AI tools, but rather that they will function according to the agreed configuration and the available technology. If the Client detects any inadequacy or error in the results provided by the AI, they should communicate it so that technical adjustments can be made within the scope of the project. New features or adjustments outside the original scope may be negotiated separately.

13.4 Certified professional training (partnership with training entities): In cases where the Client requests training that requires official certification (for example, training framed in the framework of the Labor Code or that the Client wishes to be certified by DGERT), ConnectPBS may coordinate with a duly certified partner training entity to organize and deliver the training. ConnectPBS will act as intermediary and coordinator, defining the curriculum content together with the training entity and the Client, and ensuring the adequacy of the training to the needs of the Client. The Client must ensure the attendance of their trainees and compliance with the certification requirements (e.g., minimum attendance, completion of assessments, etc.). At the end, the trainees will receive the professional training certificates issued by the certified partner training entity, recognized under legal terms. The Client will be responsible for any obligations arising from the attendance of these trainings by their employees (such as the accounting of mandatory continuous training hours, if applicable).

13.5 Payroll processing: When hiring payroll processing services with ConnectPBS, the Client delegates to it the tasks of calculating salaries, deductions, contributions to Social Security, withholding taxes, and preparing pay slips, related to the employees indicated by them. The Client commits to provide all necessary elements for processing (working hours, absences, work schedule, bonuses, allowances, applicable salary tables, etc.) by the agreed deadlines, to allow ConnectPBS to meet the payroll payment deadlines and legal declarations. ConnectPBS will process the salaries in accordance with the current labor and tax legislation (including updates to the IRS table, IAS value, minimum wage, applicable collective agreements, etc.) and will provide the Client, before the salary payment date, the following documents: payroll processing reports (list of salaries, deductions, and net amounts to be paid to each employee), individual pay slips for delivery to employees, monthly remuneration statement (Social Security), IRS withholding tax map and any other required statements or maps (such as the annual single report, DMR, etc.). ConnectPBS will also provide the necessary payment references or guides (for example, the Social Security guide and the unique IRS collection document) so that the Client can make payments within the stipulated deadlines. The Client is responsible for making these payments on time and for depositing the salaries of their employees into the indicated accounts, with ConnectPBS not being liable for any penalties resulting from late payments made by the Client. ConnectPBS will maintain the confidentiality of personal data related to the Client's employees (see clause 9) and will strictly comply with professional secrecy obligations regarding salary information.

13.6 Support for the nationalization and integration of non-residents: When the contracted service includes the support for hiring or relocating foreign workers, ConnectPBS will act as a facilitator in the bureaucratic and administrative processes necessary for these professionals to reside and work legally. This includes, for example, guidance and assistance in preparing work visa applications, residence permits, tax numbers (NIF), and social security, recognition of qualifications, etc. ConnectPBS will provide the Client with listings of the necessary documents and will guide the completion of official forms, being able to represent them (or the foreign worker) before authorities if formally authorized to do so (through a power of attorney or other legal means). The Client understands that the final decision on the granting of visas or permits is the responsibility of government authorities (SEF, IRN, Social Security, etc.), so ConnectPBS cannot guarantee a positive outcome of the applications; it can only ensure that the processes will be instructed correctly and within legal deadlines, based on the information and documents provided. The Client (and the targeted worker, when relevant) must promptly communicate any direct interaction with the authorities to ConnectPBS for coordination. Any official fee or incidental cost (for example, document issuance fees, certified translation costs, consular fees) will be the responsibility of the Client, not included in ConnectPBS's fees, unless explicitly specified otherwise.

13.7 Commissioning (partnerships and complementary services): ConnectPBS, in addition to its services, may present the Client with proposals for services provided by third-party partners of your trust, in complementary areas (for example, business insurance, security services and occupational health, social benefits plans for employees, IT infrastructure solutions, software licensing Odoo Enterprise, etc.). Such third-party services will always be properly identified as such and will depend on direct contracting between the Client and the respective partner. The role of ConnectPBS in these cases is merely one of mediation or referral, being able to facilitate the contact and referral of the Client, and in some cases receive a commission or fee from the third party (at no additional cost to the Client). The Client has complete freedom to accept or refuse the service proposals from partners presented by ConnectPBS, not being bound to contract them as a condition for the main services. If, however, the Client chooses to contract them, the legal relationship will be established between the Client and the third-party provider, with ConnectPBS not being responsible for the fulfillment of these services, unless it is expressly agreed that ConnectPBS also intervenes as a party in the specific contract or that it integrates such services into its own scope of provision.

13.8 Digital Accounting (Certified Accountant):  In the case of accounting and tax services, ConnectPBS will ensure the technical regularity of the Client's accounting and tax obligations, under the terms of the applicable legislation and Article 10 of the Statute of the Order of Certified Accountants (OCC). For this purpose, and to assume the technical responsibility provided for by law, the designated Certified Accountant is the Official Accounting Technician. Tiago André Anjos Sampaio, holder of the professional certificate no. 102815 from the OCC, who will be part of the service provision team and will be responsible for the technical quality of the accounting and tax work.

In particular, in the services of digital accounting, ConnectPBS is responsible for executing all tasks inherent to the organized accounting of the Client, in accordance with Portuguese accounting standards (Accounting Standardization System – SNC) and other applicable tax legislation. The designated Certified Accountant (see clause 2) will assume technical responsibility for the work performed, signing the accounting documents and tax declarations as required. The Client is obliged to provide all accounting documents (sales and purchase invoices, payment receipts, bank statements, etc.) in a timely manner for recording and filing.

ConnectPBS will carry out the accounting records (journal entries, ledgers, trial balances) through certified computer systems, ensuring the integrity and immutability of the records. The Client will remain the custodian of the original documentation (physical or digital) of the accounting, keeping it organized and accessible, but ConnectPBS may assist in the digitization and electronic filing of these documents. ConnectPBS will prepare the annual Financial Statements (Balance Sheet, Income Statement, etc.) of the Client and will submit the mandatory tax declarations (periodic VAT declaration, IES, Model 22 of IRC, among others) within the legal deadlines, based on the elements provided by the Client. ConnectPBS will inform the Client of the amount of taxes or contributions assessed and will send the corresponding payment guides/References to the Client before the respective due date, so that the Client can proceed with the payment. ConnectPBS does not assume any penalties resulting from any failure to settle taxes by the Client, as long as it has fulfilled the duty to inform and submit the declarations on time.

13.9 AI Customizations: If the Client hires ConnectPBS to carry out customizations or specific developments of Artificial Intelligence (AI) applied to existing processes or systems of the Client, clear specifications will be established regarding the objective of these customizations (for example, improving the accuracy of a predictive model used by the Client, training an algorithm with the Client's data to achieve a specific result, etc.). The Client will provide the necessary and relevant datasets, ensuring that they are authorized to share such data and that it is suitable for the intended purpose. ConnectPBS will carry out the customization or training of the AI model, testing and validating the results against the acceptance criteria defined with the Client. ConnectPBS will deliver the adapted AI solution (for example, a trained model or an integration script in the Client's software) and present the results and method of use. The Client is responsible for evaluating the results in their real environment and notifying ConnectPBS of any discrepancies from the expected results, in order to make adjustments within the contracted scope. The Client understands that, even after delivery, AI solutions may require ongoing maintenance (for example, periodic re-training with new data or parameter adjustment) to maintain their effectiveness; such maintenance activities are not covered by the standard contract and must be contracted separately if desired.

13.10 RPA Customizations: If the Client hires ConnectPBS to develop Robotic Process Automation (RPA) tailored to their internal processes, ConnectPBS will map the processes suitable for automation and propose an RPA strategy (for example, creating bots that execute repetitive tasks in applications such as spreadsheets, ERP systems, web portals, etc.). The Client commits to detailing the procedures to be automated and to providing testing environments or access credentials so that ConnectPBS can program and test the robots securely. ConnectPBS will implement the scripts for RPA and will conduct intensive testing to ensure that the robots perform the tasks as intended, without errors and without negatively interfering with other system functions. After validation, ConnectPBS will deliver the scripts or RPA tools to the Client and may provide training to the Client's team to monitor and adjust the robots. The Client is responsible for supervising the performance of the robots in their production environment, especially in the early days, and must inform ConnectPBS if any failures or unexpected behaviors arise so that they can be corrected. Future changes in the Client's systems or processes that require reconfiguration of the robots are not covered by the original scope and may be budgeted as additional services.

1. Definitions and Object of the Service

Rápido is a web application (“Web App”) provided by ConnectPBS and hosted on the cloud infrastructure of Google Firebase, which offers its users a digital dashboard digital customized for integrated management of their everyday digital tools and content. Through Rápido, the user can group in one place their applications, documents, access links, and other relevant information, allowing for agile, organized, and secure access to the resources they frequently use.

Service Versions: The Fast is available in the following modes, in order to suit different usage profiles:

  • Personal – version for individual, which allows the user to create a dashboard private and customizable, intended for personal purposes (e.g.: personal organization of their favorite tools and websites).
  • Corporate – business version that provides, within a company or organization, a corporate dashboard to each employee. Each user (employee) can configure their own work dashboard – within a Fast application exclusive to the company – customizing it with the applications, links, and documents they use in their roles, while maintaining the visual identity and the general settings defined by the organization.
  • Shared Corporate – shared business version that offers a unique corporate dashboard, common to all users of the company. This mode provides a standardized corporate application for the organization, where all employees access the same institutional dashboard, containing the tools, links, and information defined by the company for general use.

It is also possible for the same organization to use both Corporate and Shared Corporate versions simultaneously. In this scenario, employees will have access, in a integrated platform, both to your dashboard individual (features of the Corporate version) and to a dashboard common to the company (features of the Shared Corporate version). This hybrid approach allows for the combination of individual customization with a unified organizational experience, reinforcing consistency in the use of the company's common tools.

Main Features: The Fast has a set of key features, among which stand out:

  • Content and Tools Aggregation: Ability to centralize, on the dashboard, shortcuts to web or mobile applications, corporate systems (e.g.: intranets, CRMs, ERPs), files and documents, web pages, and other resources regularly used by the user.
  • Customization and Organization: Option to organize and customize the layout of the dashboard through “cards” or widgets, arranging and categorizing the elements according to the individual user's preferences and needs or the company's guidelines (in the case of corporate versions).
  • Controlled Sharing: In cases of dashboards of a public or corporate nature, the possibility to share certain elements or sections with other authorized users (for example, publishing a public corporate dashboard for consultation by employees). corporativo público para consulta pelos colaboradores).
  • Integration with External Services: Compatibility with authentication via Google Account (Google Sign-In) to simplify access, as well as the ability to embed links or widgets from third-party services, allowing interaction with other platforms from the Quick.
  • Artificial Intelligence (AI) functionality: Optionally, the User or the company can enable an integrated AI module in the Quick. This functionality, developed in partnership with OpenAI (through the ChatGPT – GPT-4 model), allows certain content from the dashboard (for example, recommendations, reminders, or summary texts in some cards) to be automatically generated using artificial intelligence, with the aim of optimizing the User's experience and productivity.

2. Acceptance and Modification of Terms

2.1 Acceptance: By accessing or using the Quick, the User declares that they have read, understood, and accepted these General Terms and Conditions of Use. These Terms constitute a valid and binding agreement between the User and ConnectPBS. If the User does not agree with any of the provisions set forth herein, they should refrain from using the Quick.

3. Access to the Service and User Registration

3.1 Eligibility and Minimum Age: To use the Rápido, the User must be at least 18 years old or, if underage, have obtained express permission from one of their parents or legal representatives. By registering or using the Rápido, the User declares that they meet this requirement. ConnectPBS reserves the right to request proof of age or parental authorizations when appropriate.

3.2 Account Registration and Authentication: Full access to the features of Rápido may require the creation of a user account. Upon registration, the User agrees to provide true, accurate, and complete information, including, when applicable, their name, email address, and any other requested data. ConnectPBS offers two methods of registration and authentication:

  • Direct Registration: account creation by providing an email and setting a password. The User must choose a strong password and keep it confidential, with periodic changes recommended to ensure account security.
  • Registration/Authentication via Google: option to register and log in to Rápido using credentials from a Google account (Google Sign-In). In this case, the User authorizes Google LLC to share certain data from their Google account (such as name, email address, and profile picture, if applicable) with ConnectPBS for the purpose of creating and authenticating their account on Rápido. ConnectPBS will only use this data to identify you and allow your secure access to the platform, in accordance with the Privacy Policy. The use of Google Sign-In is also subject to Google's terms and policies, which the User acknowledges and accepts.

3.3 Responsibility for Credentials: Access credentials (username, password, and/or associated third-party authentication methods, such as Google Sign-In tokens) are personal and non-transferable. The User is responsible for maintaining the confidentiality of their credentials and for all actions taken through their account. In case of suspected unauthorized access or use of their account, the User must promptly notify ConnectPBS through the provided support channels and immediately change their password. ConnectPBS will not be responsible for any losses or damages resulting from the User's failure to comply with this confidentiality obligation.

3.4 Access and Technical Conditions: Rápido can be accessed via a compatible internet browser or other expressly provided means (for example, mobile applications if and when available). For an optimal user experience, the User must ensure that they have a device with a stable internet connection and use updated software. ConnectPBS makes all commercially reasonable efforts to ensure that the Rápido is available 24 hours a day, 7 days a week. However, temporary unavailability may occur due to scheduled maintenance, updates, technical failures, or circumstances beyond ConnectPBS's control (such as network interruptions or force majeure events). Whenever foreseeable, ConnectPBS will inform Users in advance about scheduled maintenance or necessary interruptions, aiming to carry them out during periods of lesser impact on the User's activities.

3.5 Specific Conditions for Enterprise Versions: In the Corporate and Shared Corporate plans, user account management may be carried out by administrators designated by the client company (for example, through an invitation/credential sending process or integration with the organization's internal single sign-on systems, if applicable). In these cases, the employee using Rápido must comply, in addition to these Terms, with the internal policies and guidelines established by their company for using the platform. ConnectPBS is not responsible for the internal policies of the User's organization, nor for the management of access accounts carried out by the client company.

4. Proper Use and Code of Conduct

4.1 Authorized Use of Rápido: The User agrees to use Rápido and its features solely for the purposes for which the application is intended, in compliance with applicable law and these Terms and Conditions. In particular, Rápido must be used to organize and access applications, documents, and links in a lawful and appropriate manner, whether in a personal or professional context, depending on the version of the service in use.

4.2 Prohibited Activities: The User may not engage in any illegal acts or acts that may harm ConnectPBS or third parties while using Rápido, including (but not limited to):

The User should also not use Rápido to transmit unsolicited communications (spam) or unauthorized advertising content.
  • Intellectual Property Violation: Users are prohibited from using the Service to store or make available content that infringes on copyrights, patents, trademarks, trade secrets, or other intellectual property rights of third parties, unless they hold the necessary licenses or permissions.
  • Service Security Compromise:The User must not, by action or omission, interfere with the normal operation of Rápido or attempt to compromise its security. It is prohibited to introduce viruses, worms, malware, spyware, or any other malicious code into the application; to attempt to access restricted or non-public areas of Rápido or its servers (such as databases or source code) without authorization; to carry out saturation attacks (Denial of Service, DDoS), scanning, or vulnerability probing; or to use bots, scrapers, or other unauthorized automated means to access, collect, or manipulate information from the service..
  • Abusive Use of Resources: The User should not exploit flaws, bugs, or errors in Rápido for personal or others' benefit, nor unjustifiably overload the infrastructure (for example, by triggering multiple routines in an automated and massive way) in a manner that degrades the performance or availability of the service for other users.

4.3 Reporting Abuse and Cooperation: ConnectPBS encourages Users to report any security breach or misuse of Rápido of which they become aware. Such reports may be submitted through the support contact channels provided. Furthermore, the User agrees to cooperate with ConnectPBS, to the extent reasonably required, in any investigations relating to the misuse of the platform.

4.4 Consequences of Misuse: Violating the acceptable use rules established in these Terms may result in actions by ConnectPBS, including the removal of illegal or inappropriate content posted by the User, temporary suspension of the account, or, in severe or repeated cases, the permanent cancellation of the User's access to Rápido, as outlined in Clause 11 (Suspension and Termination). ConnectPBS will not be liable for any losses or damages resulting from actions taken by authorities (such as content removal or access blocking) in response to the User's illegal activities. Furthermore, ConnectPBS may cooperate with the relevant authorities by providing information about illegal activities occurring on the platform when required by law.

5. User Rights and Responsibilities

5.1 Personal Use License: By accepting these Terms, ConnectPBS grants the User a limited, non-exclusive, and non-transferable license to access and use the Rapid, strictly in accordance with these Terms and for the intended purposes (organization of personal or corporate dashboards). This right of use is revocable at any time under the terms set forth herein.

5.2 Accuracy of Information: The User is responsible for ensuring the accuracy and timeliness of the data provided in the context of registering and using Rápido (for example, account registration information, content added to the dashboard, settings defined, etc.). ConnectPBS is not responsible for any consequences arising from incorrect or outdated information provided by the User.

5.3 Content Added to the Dashboard: All information, links, files, or any other content that the User adds to their Rápido dashboard remains the sole responsibility of the User. The User declares and guarantees that they hold the necessary licenses, rights, or permissions for such content or that its use in Rápido is covered by an appropriate legal basis. ConnectPBS does not perform prior monitoring of the content added by Users; however, in the event of a complaint or indication that certain content violates the law or these Terms, ConnectPBS reserves the right to remove such content, as already mentioned in Clause 4.4.

5.4 Customization and Restrictions: In Personal version dashboards, the User has complete freedom to customize their environment, as long as they adhere to the limits of these Terms. In Corporate and Shared Corporate versions, the User acknowledges that some customization options or features may be configured or limited by their company (the service administrator), in accordance with its internal policies. For example, the company may define which applications or widgets are available to add to the dashboard, or disable certain features (such as the AI module or certain integrations) for security or compliance reasons. The User understands that they must also comply with these internal rules and that ConnectPBS is not responsible for restrictions imposed by the client company in the use of Rápido.

5.5 Backups and Personal Security Copies: ConnectPBS performs backup routines for Rápido data (as described in clause 6.2) to ensure service recovery in the event of incidents. However, it is recommended that the User independently maintains updated backups of any critical content they have uploaded or stored in Rápido, especially in the context of business dashboards (for example, copies of important documents), as an additional precaution.

6. Obligations of ConnectPBS (Service Provision)

6.1 Quality and Availability: ConnectPBS will make its best efforts to ensure that the Rapid operates regularly, efficiently, and is available. ConnectPBS aims to achieve a service availability (uptime) of at least 99.9% on a monthly basis, in line with the service levels of the underlying technology platforms (such as Google Firebase). This level of availability does not include scheduled maintenance windows, emergency outages for security issue resolution, or events beyond ConnectPBS's control (as exemplified in Clause 10.3). While ConnectPBS seeks to avoid interruptions, it cannot guarantee that the service will always be free from failures or unavailability (see Clause 10 below for details on warranty limitations).

6.2 Service Infrastructure and Security: ConnectPBS implements appropriate technical and organizational measures to protect the Service and User data, ensuring the security and confidentiality of information, in accordance with industry best practices and applicable legislation (including the requirements of the GDPR, namely the principles of "data protection by design" and "by default"). Among the measures implemented, the following stand out:

  • Data Encryption: All communications between the User's device and the Fast service are protected by HTTPS/TLS encryption, preventing interception or unauthorized alteration of the transmitted data. Likewise, the data and content stored on the hosting servers (Google Firebase) are encrypted at rest using robust encryption algorithms, ensuring their protection even in the event of unauthorized physical access to the servers.
  • Access Control: Strict access control and authentication mechanisms are used to protect Users' accounts and data. Rápido uses Firebase Authentication for managing login credentials and sessions, ensuring that passwords are properly encrypted and that only authorized users can access their information. Access to data by the ConnectPBS team (for example, for technical support purposes) is restricted to authorized personnel trained in good information security practices and subject to contractual confidentiality obligations. All administrative access to Rápido's systems is logged and monitored.
  • Incident Monitoring and Prevention: The Rápido infrastructure is continuously monitored for failures, unauthorized access, or anomalous activities. Firewalls and intrusion detection/prevention systems are employed to identify and block attempts of unauthorized access or malicious attacks (including, but not limited to, brute force attacks or denial of service – DDoS). ConnectPBS follows security incident response procedures, activating emergency technical teams in the event of any detected security breach or system integrity issue.
  • Backups and Service Continuity: ConnectPBS performs regular backups of the data stored on Rápido, using the mechanisms provided by Google Firebase. Multiple backup versions are maintained (including daily, weekly, and monthly copies of recent data), stored redundantly in different Google data centers to ensure service resilience in the event of failures or disasters. In severe incident scenarios, ConnectPBS will implement its disaster recovery procedures, aiming to restore the operation of Rápido and the Users' data to a point in time as close as possible to the moment just before the incident (Recovery Point Objective – RPO – typically up to 24 hours) and within the shortest feasible time frame (Recovery Time Objective – RTO – usually up to 24 hours, except in exceptional circumstances).
  • Preventive Maintenance: ConnectPBS carries out preventive maintenance and security updates on Rápido and the underlying infrastructure (for example, timely applying security patches provided by Google Firebase and other integrated technology vendors, as well as updates to Rápido's own software). Whenever maintenance interventions are necessary that may cause noticeable service downtime, ConnectPBS commits to notifying Users in advance, except in urgent cases where such prior communication is not possible (for example, to immediately fix a newly discovered critical vulnerability).

6.3 Technical Support: ConnectPBS will provide reasonable technical support related to the use of Rápido. Users may contact the available support channels (for example, customer support email address or support chat tool in the application) to report issues, clarify questions about features, or obtain assistance in setting up the dashboard. Support will be provided preferably during business hours (weekdays, 9 AM - 6 PM, Portugal Continental time), except in emergency situations outside of this period. ConnectPBS will make best efforts to respond to support requests in a reasonable timeframe, according to the severity/urgency of the request.

6.4 Updates and Improvements: ConnectPBS has the right to introduce updates, fixes, or improvements to Rapid at any time, aimed at enhancing security, adding new features, or improving the performance and usability of the application. A significant portion of these updates will result from the continuous evolution of the underlying platform (Google Firebase and associated components) and the development carried out by ConnectPBS itself. ConnectPBS will strive to implement updates in a way that minimizes service interruptions. When significant changes are anticipated that may affect the User's experience or the compatibility of the service (for example, changes to core functionalities or technical requirements), ConnectPBS will make an effort to notify the User with reasonable advance notice, providing relevant information (such as release notes or migration instructions, if applicable). The User agrees to keep their devices, applications, and browsers updated and compatible with the technical specifications of Rapid, in order to properly benefit from the improvements introduced.

7. Privacy and Personal Data Protection

7.1 Privacy Policy: ConnectPBS collects and processes personal data of Users of Rápido in accordance with the applicable data protection legislation, including Regulation (EU) 2016/679 (GDPR) and Law No. 58/2019 (Portuguese data protection legislation). The manner in which personal data is processed within the scope of Rápido is described in detail in ConnectPBS's Privacy Policy, which is incorporated into these Terms by reference. It is strongly recommended to carefully read the Privacy Policy, which contains information about the types of data collected, purposes of processing, data sharing with third parties, retention periods, and the rights of data subjects.

7.2 Personal Data Collected: During the use of Rápido, ConnectPBS may collect and process, among others, the following personal data of the User:

  • Registration Data: information provided by the User at the time of account creation, such as name, email, job title/role (in the case of corporate versions), and any profile picture.
  • Usage Data: information related to how the User interacts with Rápido, including the features used, date and time of access, dashboard settings, IP addresses of access, and characteristics of the device/browser used.
  • Inserted Content: any personal data that the User decides to voluntarily enter into their dashboard (for example, contact lists, photographs, or personal documents). In these cases, ConnectPBS acts merely as a platform provider and reiterates that control over this content (including the legality of its processing) is entirely the User's responsibility (see Clause 5.3).
  • AI-Generated Data: if the User or their company activates the artificial intelligence features in Rápido, content provided by the User may be processed for text generation or personalized suggestions. This content may include data entered in the dashboard and any User preferences, being processed as described in Clause 9.3 and in accordance with the Privacy Policy.

7.3 Data Processing by Third Parties (Subcontractors): For the operation of Rápido and certain functionalities, ConnectPBS relies on trusted third-party services, which will act as subcontractors (also referred to as data processors) in the processing of personal data, as permitted by Article 28 of the GDPR. The main subcontractors and relevant integrations are:

  • Hosting Infrastructure and Database – Google Firebase (Google Cloud Firestore): Rápido is hosted in Google data centers through the Google Firebase platform. For the storage and management of service data and User content, Rápido uses the Google Cloud Firestore cloud database, an integral part of the Firebase ecosystem. Google LLC, as the provider of these hosting and database services, acts as a subcontractor of ConnectPBS in the processing of data, only processing it according to instructions from ConnectPBS and in compliance with applicable data protection legislation. The Google Firebase infrastructure adheres to stringent international security standards (including certifications such as ISO/IEC 27001), and Google provides contractual guarantees of privacy and data protection, particularly through the execution of EU Standard Contractual Clauses, when applicable, to ensure an adequate level of protection in any international data transfers. The data stored in Firebase (including in the Firestore Database and backup systems) is encrypted at rest and benefits from geographic redundancy mechanisms, enhancing the security and availability of the service (as described in Clause 6.2).
  • Account Authentication – Firebase Authentication / Google Sign-In: Rápido uses the Firebase Authentication service (part of Google Firebase) to securely manage User credentials and access. The passwords set during direct registration are stored securely (encrypted) by Firebase, and the login processes are managed according to best security practices (including protection against unauthorized access). If the User chooses to register or authenticate through a Google account, Rápido will integrate the Google Sign-In service: in this process, ConnectPBS only accesses the basic data from the Google account necessary for authentication (such as the name and email address associated), in accordance with the permissions granted by the User. In both cases, ConnectPBS will handle the authentication data solely to enable and manage secure access to Rápido, in line with its Privacy Policy, ensuring the proper protection and confidentiality of this data.
  • Artificial Intelligence Features – OpenAI (ChatGPT/GPT-4): If the User (or the company, in the case of Corporate versions) activates the Quick AI module, certain data or content provided by the User may be submitted to the OpenAI service to automatically generate responses, summaries, or suggestions within the dashboard. For example, the text entered in a card may be sent to the ChatGPT API (OpenAI GPT-4 model) to produce a summary or content suggestion. ConnectPBS will take measures to send only the minimum necessary amount of information to the external API, prioritizing the anonymization or pseudonymization of data when feasible. The User understands and agrees that OpenAI, in providing the AI service, will act as a subcontractor of ConnectPBS in processing this data, solely for the purpose of generating the requested automatic content. OpenAI is also bound by contractual obligations that ensure the protection and confidentiality of the processed data, in accordance with GDPR. Nevertheless, the User must use the AI functionality in accordance with Clause 4.2 (notably, not requesting the AI to generate illegal content or content that infringes on third-party rights). For more details on the operation and limitations of the AI functionality, please also refer to Clause 9.3.

7.4 Rights of Data Subjects: ConnectPBS guarantees Users, as data subjects, all the rights conferred upon them by applicable legislation. The User may exercise, at any time, their rights of access, rectification, deletion, limitation of processing, portability, and objection regarding their personal data processed under Rápido. Such requests should be directed in writing to ConnectPBS, preferably through the email address indicated in the Privacy Policy or in the contact information of ConnectPBS. ConnectPBS will respond to the requests of data subjects within the applicable legal deadlines and in accordance with the requirements of the GDPR, and may, if necessary, request additional information to confirm the identity of the requester.

7.5 Confidentiality and Data Security: ConnectPBS acknowledges that the data and content entered by the User in Rápido may be of a confidential nature. In this regard, ConnectPBS commits to: (i) not accessing, using, or disclosing the private content of the User's dashboard, except as necessary for the proper provision of the service (for example, for troubleshooting requested by the User) or as required by law; (ii) ensuring that its employees and subcontractors with access to User data are subject to strict confidentiality obligations; and (iii) implementing the security measures detailed in these Terms to protect such data against unauthorized access. In particular, any personal data shared with subcontractors (as mentioned in point 7.3) will be limited to what is necessary and will be covered by data processing agreements that ensure equivalent levels of protection. ConnectPBS will not access the content of the User's cards or personal documents, except with the authorization or express request of the User or as part of a legal obligation.

7.6 Marketing Communications: ConnectPBS may, with the User's prior consent (when legally required), send electronic communications of an informational or promotional nature related to the Fast Service or related services. The User may withdraw or adjust their consent to receive these communications at any time by following the opt-out instructions provided in each message or by contacting ConnectPBS. The absence or withdrawal of consent for marketing communications does not affect the User's access to and use of the Fast Service.

8. Intellectual Property

8.1 Direitos da ConnectPBS sobre a Aplicação: The Fast (including, but not limited to its source code, design, interface, functionalities, underlying software, databases, trademarks, logos, and other content provided by ConnectPBS within the application) is the intellectual property of ConnectPBS, being protected by international copyright, trade secret, trademark, and/or patent laws and treaties. ConnectPBS grants the User a limited, non-exclusive, and non-transferable license to use the Fast, solely under the terms and for the purposes of these Terms. At no time are any intellectual property rights over the Fast or its components transferred to the User. The User agrees not to reproduce, adapt, translate, modify, create derivative works, decompile, reverse engineer, or in any other way exploit or extract the source code of the Fast, nor to remove or alter any copyright, trademark, or other intellectual property notices present in the application.

8.2 Rights over User Content: The User retains all intellectual property rights and personality rights over the content they insert or upload in their dashboard Fast (for example, texts, images, logos, files, etc.). The User's use of the Fast does not transfer ownership of any of those rights to ConnectPBS. However, the User grants ConnectPBS a limited license (i) to reproduce, store, and display the content they have inserted, solely to the extent necessary to provide the service (that is, to host the data, create backups, and make them accessible to the User or to those they authorize), and (ii) to use them, in anonymized or aggregated format, in order to improve or optimize the functionalities of Rápido (for example, by training recommendation algorithms or AI, without ever publicly disclosing personal data of the User). This license terminates when the data is deleted from Rápido (including from backups, after the normal retention cycle), except to the extent that the retention of any information is legally required.

8.3 Feedback and Suggestions: Any ideas, suggestions, or proposals for improvement related to Rápido that the User voluntarily submits to ConnectPBS (for example, through support or feedback channels) may be freely utilized by ConnectPBS for service enhancement, without generating any right to payment or compensation to the User. ConnectPBS will hold all rights to any improvements or features developed based on that feedback, and the User will not have any co-authorship resulting from it.

9. Integrations with Third-Party Services and AI Features

9.1 Links and Third-Party Content: Rápido allows the aggregation and presentation of links or third-party content on the dashboard of the User (for example, links to other applications, business systems, or external websites inserted by the User). These third-party contents are not controlled by ConnectPBS. Thus, the User acknowledges that ConnectPBS is not responsible for the availability, accuracy, or legality of any third-party contents, products, or services accessible through the Quick. The User is solely responsible for ensuring that their use of third-party contents or services in the Quick complies with the terms of use and policies of those third parties. For example, if the User integrates in their dashboard a link or widget to a third-party service (such as an email or file storage service), they must respect the terms of service and intellectual property rights of that service. ConnectPBS assumes no responsibility for failures or damages resulting from integrations with third-party services selected by the User.

9.2 Google Services: As described in various sections of these Terms, the Quick integrates services provided by Google, namely the cloud infrastructure (Google Firebase and its components, such as Firestore Database and Firebase Authentication) and authentication options via Google Account. The User understands and agrees that the use of these services is also subject to the terms and policies of Google, in addition to these Terms. In particular, authentication via Google Sign-In is also governed by Google's terms of service, and data processing by Google under Firebase is governed by Google's Privacy Policy and the data processing agreements made between Google and ConnectPBS. ConnectPBS confirms that the selection of these third-party providers and services was made diligently to ensure they meet appropriate standards of security and compliance (including GDPR), but cannot guarantee the availability or error-free operation of these external services. In the event of a failure or unavailability of a critical third-party service (for example, if Google Firebase hosting service experiences a widespread outage), ConnectPBS will make efforts to mitigate the impact on Users, but cannot be held liable for damages resulting from such failures, as provided in Clause 10.

9.3 Artificial Intelligence Features (Rápido IA): ConnectPBS may provide, as an optional feature of Rápido, a module of Artificial Intelligence that assists Users in managing their dashboard. By activating Rápido IA, the User allows certain content from their dashboard to be analyzed by AI algorithms to automatically generate relevant information or suggestions. For example, the AI may suggest creating a “card” for an application frequently used by the User or summarizing a document added to the dashboard. This feature is supported by the GPT-4 language model from OpenAI (via the service API ChatGPT), as mentioned above, and is subject to the following special conditions:

 a) Caráter Opcional: A ativação e utilização do Rápido IA é totalmente opcional.

10. Limitation of Warranties and Disclaimer of Liability

10.1 Availability and Errors: Although ConnectPBS strives to keep the Fast available and functional, the User understands that the service is provided “as is” and “as available”. ConnectPBS does not guarantee that the Fast will always be available, uninterrupted, secure, or free of errors. ConnectPBS cannot guarantee that the service will be compatible with all devices or browsers on the market, nor that any defects or failures will always be promptly corrected. The User agrees that the use of the Fast is at their own risk.

10.2 Exclusion of Implied Warranties: To the maximum extent permitted by applicable law, ConnectPBS disclaims any warranties and conditions, express or implied, relating to the Fast and its use, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement of rights. No information or advice given by ConnectPBS to the User, whether orally or in writing, shall constitute a warranty not expressly provided for in these Terms.

10.3 Limitation of Liability: ConnectPBS's total liability for any consequential damages, lost profits, data loss, or any other harm resulting from the use (or inability to use) the Fast, or from any breach of these Terms, will be limited to the amount corresponding to the values eventually paid by the User for access to the service in the 12 (twelve) months prior to the event that gave rise to the liability, or, in the absence of payments (as it is a free service), limited to the amount of €100 (one hundred euros). Under no circumstances shall ConnectPBS be liable for indirect, special, incidental or consequential damages, including, but not limited to, loss of profits, revenues, business opportunities, data, goodwill or reputation, related to the use of the Fast or the inability to use it, even if ConnectPBS has been alerted to the possibility of such damages. This limitation of liability applies to the fullest extent permitted by applicable law.

10.4 Force Majeure Events: ConnectPBS shall not be liable for failures to comply with its contractual obligations resulting from circumstances beyond its reasonable control, such as natural disasters, public order disturbances, labor conflicts, bugs from third-party libraries, power failures, large-scale cyberattacks or interruptions in the services of its suppliers (for example, unavailability in Google data centers or OpenAI services). In such cases, the affected obligations shall be deemed suspended for the period during which the force majeure event persists. ConnectPBS will make efforts to mitigate the effects of such events, but shall not be considered in breach of its contractual obligations while force majeure circumstances persist.

10.5 Third-Party Links and AI Content: ConnectPBS shall not be held liable for any acts, omissions, or content of third parties integrated or accessible through the Quick, including the accuracy and legality of information provided by other applications or services whose links appear in the dashboard. Likewise, regarding the content generated by the AI functionality, the User acknowledges that such content is produced in an automated and experimental manner, and ConnectPBS shall not be held liable for actions taken by the User based on these suggestions, nor for the content itself generated by the AI, which must be validated by the User before use.

10.6 Indemnification: The User agrees to indemnify and hold harmless ConnectPBS from any and all liability for any claims, losses, damages, or expenses (including attorney's fees) arising from the User's breach of these Terms, violation of third-party rights, or misuse of the Quick. ConnectPBS reserves the right to assume the defense in any legal action in which the User must indemnify ConnectPBS, with the corresponding costs and expenses being borne by the User.

11. Suspension and Termination of Access

11.1 Cancellation by the User: The User may, at any time, cease the use of the Quick and request the cancellation of their account. This request can be made through the features available in the application itself (if there is an account deletion option in the User's profile) or by contacting ConnectPBS in writing (for example, via support email). After the account cancellation, ConnectPBS will terminate the User's access and proceed with the removal or anonymization of the associated personal data, as detailed in the Privacy Policy and in Clause 7.5 of these Terms, subject to legal obligations for data retention that impose additional retention periods.

11.2 Suspension or Termination by ConnectPBS: ConnectPBS may temporarily suspend or permanently terminate the User's access to Rápido, with notification (when possible) sent to the email associated with the account, under the following circumstances:

11.3 Consequences of Termination: In the event of account or service termination, the User will no longer be able to access Rápido and its contents. ConnectPBS may permanently delete all data associated with the account after the service ends, except for those it is legally required to retain for an additional period. It is recommended that the User, before closing the account or in light of a service discontinuation announcement, extract the information and content they need, as ConnectPBS cannot guarantee the recovery of that data after deletion. ConnectPBS will not be liable for the loss of data or access to Rápido features following voluntary termination by the User or the definitive end of the service, provided it has fulfilled the applicable notice obligations.

12. Final Provisions

12.1 Assignment of Contractual Position: ConnectPBS may assign its contractual position regarding the provision of Rápido to another entity in the event of a merger, acquisition, corporate restructuring, or transfer of activity, committing to ensure that the assignee entity will be bound by these Terms. The User will be informed of any assignment involving the transfer of their personal data, having, in that case, the right to cease using the service if they do not agree with the transfer (without prejudice to any legal obligations for data retention, as mentioned). The User may not assign to third parties their contractual position or any of their rights or obligations arising from these Terms, without prior and express consent from ConnectPBS.

12.2 Changes and Updates to the Service: ConnectPBS may, at any time and at its discretion, reformulate, improve, suspend, or discontinue Rápido (or any of its functionalities), giving reasonable prior notice to Users whenever practicable. In the event of total discontinuation of the service, ConnectPBS will make efforts to notify Users at least 30 days in advance, as mentioned in 11.2 (d).

12.3 Relationship between the Parties: Nothing in these Terms shall be interpreted as creating any form of partnership, association, agency, representation, joint venture, or employment relationship between ConnectPBS and the User. The User acts as an independent contractual party, having no authority to bind ConnectPBS nor being its representative.

12.4 Independence of the Clauses: If any provision of these Terms is deemed invalid, illegal, or unenforceable by a competent authority, it shall not affect the validity or enforceability of the remaining clauses. In such circumstances, the parties agree to make efforts to replace the provision in question with another valid one that aims for the same economic purpose and maintains, as far as possible, the spirit of the original provision.

12.5 Completeness of the Agreement: These Terms (together with the Privacy Policy referred to in Clause 7.1) constitute the complete agreement between the User and ConnectPBS regarding the use of the Fast service, prevailing over any previous agreements, proposals, communications, or statements, whether verbal or written, related to the subject of this contract.

12.6 Applicable Law and Jurisdiction: These Terms are governed by the law of the Portuguese Republic. For the resolution of any disputes arising from the interpretation or execution of these Terms, which are not resolved by mutual agreement, the exclusive jurisdiction of the District of Porto (Portugal), is stipulated, with express waiver of any others, except for mandatory legal provisions to the contrary. If the User acts as a consumer (under the applicable consumer protection legislation), they may resort to the courts of their domicile or to legally provided alternative dispute resolution mechanisms.

12.7 Contact and Additional Provisions: For any questions related to the Fast service or these Terms and Conditions, the User may contact ConnectPBS via the support email (for example: support@connectpbs.com) or other contacts indicated on the official website. Any lack or delay in the exercise, by ConnectPBS, of any right provided for in these Terms shall not constitute a waiver of that right. Likewise, the punctual or partial exercise of a right shall not prevent ConnectPBS from exercising it again in the future or from exercising any other right provided for herein.
